Inactive Project definition

Inactive Project means any Project that (a) remains a CAD Project for more than 180 days after such Project was first included in the Eligible Project Back-Log as a CAD Project or (b) remains a Permitted Project for more than 180 days after such Project was first included in the Eligible Project Back-Log as a Permitted Project.
Inactive Project means a Project for which Celanese is not paying any Research Expenses.
Inactive Project means any Project that (a) remains a CAD Project for more than [***] days after such Project was first included in the Eligible Project Back-Log as a CAD Project or (b) remains a Permitted Project for more than [***] days after such Project was first included in the Eligible Project Back-Log as a Permitted Project.

Examples of Inactive Project in a sentence

  • At any time while Celanese is paying Research Expenses for a particular Active Field equal to or greater than the Field Minimum Funding for such Active Field, the RFC for a particular Active Field may agree to recommend to the EC that an Inactive Project within such Active Field be activated to become an Active Project.

  • Activation of an Inactive Project shall become effective upon completion of all of the foregoing.

  • Any Active Project terminated by the applicable RFC shall be deemed an Inactive Project.

  • In such event, the parties shall exchange technical information relevant to the proposed Inactive Project including the feasibility of such Inactive Project and the likelihood of identifying a Lead Compound in connection therewith.

Inactive Project means (i) any Owned Project that (a) remains a CAD Project for more than [***] days after such Project was first included in the Eligible Owned Project Back-Log as a CAD Project or (b) remains a Permitted Project for more than [***] days after such Project was first included in the Eligible Owned Project Back-Log as a Permitted Project and (ii) any SPA Project that remains a Cash SPA Project or Loan SPA Project for more than [***] days after such Project was first included in the Eligible Financed Cash SPA Project Back-Log, the Eligible Unfinanced Cash SPA Project Back-Log, or the Eligible Loan SPA Project Back-Log, as applicable, as a Cash SPA Project or Loan SPA Project, as applicable.
Inactive Project means any Project that (a) remains a CAD Project for more than 180 days after such Project was first included in the Eligible Project Back-Log as a CAD Project or (b) remains a Permitted Project for more than 180 days after such Project was first included in the Eligible Project Back-Log as a Permitted Project. “Indebtedness” means, as to any Person at a particular time, without duplication, all of the following, whether or not included as indebtedness or liabilities in accordance with GAAP: (a) all obligations of such Person for borrowed money and all obligations of such Person evidenced by bonds, debentures, notes, loan agreements or other similar instruments (including Convertible Debt); (b) the maximum amount of all direct or contingent obligations of such Person arising under letters of credit (including standby and commercial), bankers’ acceptances, bank guaranties, surety bonds and similar instruments; (c) net obligations of such Person under any Swap Contract;
