The ICC Real Property, ICC Real Property Leases, Tangible ICC Personal Property, Equipment Contracts, Appurtenances, ICC Accounts Receivable, ICC Technology, ICC Governmental Authorizations, Improvements and ICC Inventories of ICC and its Subsidiaries are sufficient for the continued conduct of ICC’s and its Subsidiaries’ business after the Closings in substantially the same manner as conducted prior to the First Closing.
Except with respect to ICC Technology and ICC Real Property, each of ICC and its Subsidiaries is the sole legal and beneficial and (where its interests are registrable) the sole registered owner of all of its assets and interests in its assets, with good and valid title, free and clear of all Encumbrances other than Permitted Encumbrances.
