Hedge Agreement Bank definition

Hedge Agreement Bank means a Lender, the Administrative Agent, the Arranger or an Affiliate of a Lender, the Administrative Agent or the Arranger at the time it enters into a Hedge Agreement or becomes a Lender or the Administrative Agent or an Affiliate of a Lender or the Administrative Agent after it has entered into such Hedge Agreement.
Hedge Agreement Bank means (a) any Person that is a Lender or an Affiliate of a Lender at the time that it becomes a party to a Hedge Agreement with any Borrower and (b) any Lender on the Closing Date or Affiliate of such Lender that is party to a Hedge Agreement with any Borrower in existence on the Closing Date, in each case to the extent permitted hereunder.

Examples of Hedge Agreement Bank in a sentence

  • Notwithstanding anything to the contrary contained herein or in any other Loan Document, no Hedge Agreement Bank shall have any right to notice of any action or to consent to, direct or object to any action under the Credit Agreement or the other Loan Documents other than in its capacity as a Lender and, in such case, only to the extent expressly provided in the Loan Documents.

  • The Administrative Agent shall not be required to verify the payment of, or that other satisfactory arrangements have been made with respect to, Hedge Agreement Obligations arising under Hedge Agreements unless the Administrative Agent has received written notice of such Hedge Agreement Obligations, together with such supporting documentation as the Administrative Agent may request, from the applicable Hedge Agreement Bank.

  • So long as any Lender is a Defaulting Lender, such Lender shall not be a Hedge Agreement Bank with respect to any Hedge Agreement entered into while such Lender was a Defaulting Lender.

  • Hedging Agreement Provider means any Person that enters into a Secured Hedging Agreement with a Credit Party or any of its Subsidiaries that is permitted by Section 6.1(d) to the extent such Person is a Lender, an Affiliate of a Lender or any other Person that was a Lender (or an Affiliate of a Lender) at the time it entered into the Secured Hedging Agreement but has ceased to be a Lender (or whose Affiliate has ceased to be a Lender) under the Credit Agreement.

  • Cash Management Bank means any Person that, at the time it enters into a Cash Management Agreement, is a Lender or an Affiliate of a Lender, in its capacity as a party to such Cash Management Agreement.

  • Swap Agreement Obligations means any and all obligations of the Loan Parties and their Subsidiaries, whether absolute or contingent and howsoever and whensoever created, arising, evidenced or acquired (including all renewals, extensions and modifications thereof and substitutions therefor), under (a) any Swap Agreement permitted hereunder with a Lender or an Affiliate of a Lender, and (b) any cancellations, buy backs, reversals, terminations or assignments of any Swap Agreement transaction permitted hereunder with a Lender or an Affiliate of a Lender.

  • Secured Cash Management Agreement means any Cash Management Agreement that is entered into by and between any Loan Party and any Cash Management Bank.

  • Hedge Provider means Xxxxx Fargo or any of its Affiliates.
