Handoff Date definition

Handoff Date means the date when Tengion initiates the first animal study conducted under Good Laboratory Practices (“GLP”) for a specific New Development Product. For the purpose of clarity, the Handoff Date is intended to signify the date where WFUHS has essentially completed the discovery and pre-GLP portions of the work related to a New Development Product, which work shall include sufficient data (in-vitro and in-vivo) to permit Tengion to conduct a GLP study for such New Development Product. * Confidential Treatment Requested 7. Examples of Handoff Date in a sentence

  • Notwithstanding the foregoing, Novo Nordisk shall not be required to disclose, and the RCA PM Parties shall not have the right to review, any records of Novo Nordisk, its Affiliates or subcontractors that relate to (a) [***], (b) Novo Nordisk’s decision whether or not to exercise the Option or (c) without limiting the requirements of Section 4.1.3(b), any Development work conducted by or on behalf of Novo Nordisk from and after the Program Handoff Date.

  • As among the Parties, the RCA PM Parties (or PlatformCo after the Program Handoff Date) shall have the first right, but not the obligation, to Prosecute and Maintain all Licensed Product-Specific Patents within the Background IP (“Background Licensed Product-Specific Patents”) in the Territory at the RCA PM Parties’ (or PlatformCo’s after the Program Handoff Date) expense with counsel of their choice.

  • From and after the Program Handoff Date, as among the Parties, other than with respect to the Licensed Product-Specific Patents (which are addressed in Section 10.4.4), Novo Nordisk shall have the first right, but not the obligation, to Prosecute and Maintain all PM and NN Joint Developed Patents and LNP Joint Patents in the Territory at Novo Nordisk’s expense with counsel of its choice.

  • CONTRACTOR agrees to have the Service installed, tested, and ready for K-20 Acceptance Testing (pursuant to RFQ Attachment A, Section 5.6.4 Service Acceptance) on or before the Guaranteed Handoff Date.

Related to Handoff Date

  • Cutoff Date means the Statistical Cutoff Date, the Initial Cutoff Date and any Subsequent Cutoff Date, as applicable.

  • Notice Cut-off Date means the date specified as such in the Conversion Shares Settlement Request Notice, which date shall be at least forty (40) Business Days following the Suspension Date.

  • Statistical Cutoff Date means June 30, 2014.

  • Initial Cutoff Date has the meaning set forth in Section 1.2(a).

  • Payoff Date means the first date on which all of the Obligations are paid in full and the Commitments of the Lenders are terminated.
