Gross Number definition

Gross Number means, with respect to any exercise of this Warrant, the product of (A) the number of shares on the face of this Warrant, not to exceed in the aggregate the Issuable Number, for which this Warrant is being exercised as specified in the respective Warrant Exercise Notice multiplied by (B) the quotient of (1) the Stock Purchase Price divided by (2) the Warrant Price (as adjusted to the date of such calculation).

  • For the avoidance of doubt, where any adjustment to the Gross Number of units of Ordinary Stock results in something other than an integral number, such number shall not be rounded upwards or downwards for the purposes of these Terms and Conditions and shall be carried forward and included in any subsequent adjustment.
