  • All of the outstanding shares of capital stock of GPRE, including the GPRE Stock to be issued pursuant to this Agreement, will be, upon consummation of the transactions contemplated by this Agreement, validly issued, fully paid, nonassessable and subject to no lien or restriction on transfer, except restrictions on transfer imposed by applicable securities laws.

  • It is hereby agreed that the Superior Stock shall be acquired by GPRE at Closing in exchange for 100,000 shares of restricted GPRE Stock (the "Shares").

  • GPRE has taken all corporate action necessary to authorize this Agreement and the issuance of the GPRE Stock to be issued and exchanged hereunder.

  • The execution, delivery and performance by GPRE of this Agreement and the issuance and exchange of the GPRE Stock will not result in any violation of or be in conflict with, or result in a breach of or constitute a default under, any term or provision of any Legal Requirement to which GPRE is subject, or any Charter or Bylaws, or any Contractual Obligation to which GPRE is a party or by which GPRE is bound.
