  • All corporate acts, plans, policies, resolutions, approvals and authorizations of the shareholders, Board of Directors, committees elected or appointed by the Board of Directors, officers and agents of GLAC, which were valid and effective immediately prior to the Effective Date shall be taken for all purposes as the acts, plans, policies, resolutions, approvals, and authorizations of the Surviving Corporation and shall be effective and binding thereon as the same were with respect to GLAC.

  • From time to time, as and when necessary, the Surviving Corporation shall execute and deliver or cause to be executed and delivered all such other instruments, and shall take or cause to be taken all such further or other actions, as are necessary or desirable in order to assume or otherwise comply with the outstanding debts, duties or other obligations of GLAC.

  • The separate existence of GLAC shall cease and the existence of ▇▇▇▇ shall continue unaffected and unimpaired by the Merger with all rights, privileges, immunities and powers, and subject to all the duties and liabilities of a corporation organized under the insurance laws of the State of Illinois.

  • All of the common stock of GLAC issued and outstanding immediately prior to the Effective Date shall be cancelled on the Effective Date and all of the common and preferred stock of ▇▇▇▇ issued and outstanding immediately prior to the Effective Date shall remain unchanged and shall be the common and preferred stock of the Surviving Corporation after the Effective Date.

  • GLAC agrees to reimburse G1001 Resources for the cost of the services and facilities provided by G1001 Resources to GLAC pursuant to this Agreement.

  • Subject to the foregoing and to the terms, conditions, and limitations of this Agreement, G1001 Resources shall provide to GLAC, at GLAC’s request, the services set forth below with respect to the business of GLAC.

  • The Parties intend by this MOU to continue the RWMG, provide procedures for adding and replacing members of the RWMG, and to develop, administer, update, and implement an IRWMP for the GLAC Region.

  • Either G1001 Resources or GLAC may terminate this Agreement for cause in the event of a material breach of this Agreement, provided that the non-breaching party must provide written notice of the material breach to the breaching party and provide the breaching party a thirty (30) day cure period.

  • It is anticipated that coordination and information sharing among the Parties will assist the Parties in achieving their respective missions and contribute to the overall well-being of the GLAC Region.
