Bally’s has agreed to acquire the entire issued and to be issued ordinary share capital of Gamesys Group plc (“Gamesys”) on the terms and subject to the conditions set forth in (i) an announcement by Bally’s and Gamesys dated April 13, 2021 under Rule 2.7 of the UK Takeover Code and (ii) a circular published by Gamesys on June 1, 2021 (the “Circular”) (such transaction, the “Transaction”).
Under an agreement ("Share Purchase Agreement") dated on or around the date of this Agreement, Intertain TopCo (as defined below) agreed to acquire the entire issued share capital of Intertain, a company to which, together with its wholly-owned subsidiary, Fifty States (Gibraltar) Limited, the Gamesys Group (as defined below) has transferred certain assets, including the Brands, the Marketing Brands, the Domain Names, and the Player Data (each as defined below).
Gamesys agrees and will procure that all members of the Gamesys Group agree that it will not do anything to discourage the individuals from accepting the offers made, including, for the avoidance of doubt, making any offer to enhance the pre-existing terms and conditions of employment of those individuals.
The relevant member of the Gamesys Group will present any such offers of employment to the relevant individuals positively and agrees that it will facilitate consultation between the Replacement Service Provider and the individuals.
Should any of the individuals accept the offer of employment, Gamesys agrees and will procure that all members of the Gamesys Group agree that Group will not termination of the Services, whether or not such individuals have transferred to a Replacement Service Provider pursuant to the Transfer Regulations or otherwise, provided always that this does not require Gamesys or any member of the Gamesys Group .
