Vendor shall make its premises and personnel available to the NASD Group for review of said records and for physical inspection of Vendor’s access, receipt and use of the FTP Server or the Downloadable Lists, all at reasonable times, upon reasonable Notice, to ensure Vendor’s and its users are in compliance with this Agreement.
NASD cannot assure Vendor that the FTP Server or the Downloadable Lists will be virus or problem free.
Vendor may not sell, lease, furnish or otherwise permit or provide access to or receipt or use of the FTP Server or Downloadable Lists to any third parties unless it is authorized to do so in writing in advance by NASD.
