FT Unit definition

FT Unit means “flow throughunits issued for $2.31 per unit as part of the Bought Deal Private Placement, with each unit being comprised of one “flow through” Common Share and one half of one Bought Deal Private Placement Warrant;
FT Unit has the meaning ascribed thereto in the first paragraph of this Agreement.

  • The Warrant Shares have been duly and validly authorized for issuance and, when issued, delivered and paid for upon the due exercise of the FT Unit Warrants and the Unit Warrants in accordance with the terms of the Warrant Indentures, will be validly issued as fully paid and non-assessable Common Shares.

  • For certainty, the foregoing indemnity shall have no force or effect and the Subscribers shall not have any recourse or rights of action to the extent that such indemnity would otherwise cause the FT Unit Shares to be “prescribed shares” within the meaning of section 6202.1 of the regulations to the Tax Act.

  • The Company shall not be liable or responsible for any breach of any covenant or representation given in this Agreement if the FT Unit Shares are “prescribed shares” under subsection 6202.1(1) of the regulations to the Tax Act as a result of the Follow-On Transactions.

  • The Follow-On Transactions may or may not affect whether the FT Unit Shares purchased by Subscribers under the Subscription Agreement are “prescribed shares” under subsection 6202.1(1) of the regulations to the Tax Act.


More Definitions of FT Unit
