The Commissioners give no warranty as to the accuracy or completeness of the Employee Liability Information supplied by any Former Provider Employer.

C.3.1. As a result of the operation of the Employment Regulations, the contracts of employment between each Former Provider and the Transferring Former Provider Employees (except in relation to any terms disapplied through the operation of regulation 10(2) of the Employment Regulations) shall have effect on and from the Relevant Transfer Date as if originally made between the Provider and/or any Subcontractor and each such Transferring Former Provider Employee.

Where in this schedule the Council accepts an obligation to procure that a Former Provider does or does not do something, such obligation shall be limited so that it extends only to the extent that the Council's contract with the Former Provider contains a contractual right in that regard which the Council may enforce, or otherwise so that it requires only that the Council must use reasonable endeavours to procure that the Former Provider does or does not act accordingly.
Where a provision in this Schedule imposes an obligation on the Service Provider to provide an indemnity, undertaking or warranty, the Service Provider shall procure that each of its Sub-contractors shall comply with such obligation and provide such indemnity, undertaking or warranty to the Council, Former Provider, Replacement Provider or Replacement Sub-contractor, as the case may be.
If there are no measures, the Service Provider will give confirmation of that fact, and shall indemnify the Council and any Former Provider against all Employment Liabilities resulting from any failure by it to comply with this obligation.
Subject to clause C10.2, the Authority shall procure that each Former Provider shall indemnify the Provider and any Notified Sub-Contractor against any Employee Liabilities in respect of any Relevant Employee (or, where applicable any employee representative as defined in the TUPE) under TUPE, to the extent that such loss relates to the period of time that the Relevant Employee was employed by the Former Provider.
