Fleet Agent definition

Fleet Agent means Fleet Bank, National Association, in its capacity as co-agent for the Banks hereunder, and its permitted successors in such capacity in accordance with the terms of this Agreement.

  • With respect to Euro-Dollar Loans or Money Market LIBOR Loans, before giving any notice to the Fleet Agent pursuant to this Section, such Bank shall designate a different Euro-Dollar Lending Office if such designation will avoid the need for giving such notice and will not, in the judgment of such Bank, be otherwise disadvantageous to 108 115 such Bank.

  • During the Term, but provided that no Event of Default shall have occurred and be continuing, Borrower shall pay to the Fleet Agent, for the account of the Banks in proportion to their interests in respective undrawn issued Letters of Credit, a Letter of Credit Fee in an amount equal to the LC Applicable Rate per annum on the daily average of such issued and undrawn Letters of Credit, which fee shall be payable, in arrears, on each January 1, April 1, July 1 and October 1 during the Term.

  • Upon receipt of the Borrower's Notice of Money Market Borrowing in accordance with Section 2.3(f) hereof, the Morg▇▇ ▇▇▇nt shall, on the date such Notice of Money Market Borrowing is received by the Morg▇▇ ▇▇▇nt, notify the Fleet Agent and each Bank of the principal amount of the Money Market Borrowing accepted by the Borrower and of such Bank's share (if any) of such Money Market Borrowing and such Notice of Money Market Borrowing shall not thereafter be revocable by the Borrower.

  • None of the Morg▇▇ ▇▇▇nt, Fleet Agent or the Banks shall be deemed to have breached this Section 9.16 if a prohibited disclosure of confidential information by such party is inadvertent.

  • Upon the acceptance of its appointment as the Morg▇▇ ▇▇▇nt or Fleet Agent hereunder by a successor Morg▇▇ ▇▇▇nt or successor Fleet Agent, as applicable, such successor Morg▇▇ ▇▇▇nt or successor Fleet Agent, as applicable, shall thereupon succeed to and become vested with all the rights and duties of the retiring Morg▇▇ ▇▇▇nt or retiring Fleet Agent, as applicable, and the retiring Morg▇▇ ▇▇▇nt or the retiring Fleet Agent, as applicable, shall be discharged from its duties and obligations hereunder.

  • Each Bank shall, in accordance with Section 2.4(b), make available its share of such Borrowing to Fleet Agent, the proceeds of which shall be applied directly by Fleet Agent to reimburse Fronting Bank for the amount of such draw.

  • The Morg▇▇ ▇▇▇nt and the Banks shall not assign their respective interests under this Agreement except as set forth in Section 7.8 (with respect to the Morg▇▇ ▇▇▇nt and the Fleet Agent) and this Article IX (with respect to the Banks).

  • The Morg▇▇ ▇▇▇nt shall simultaneously deliver any notices delivered by the Morg▇▇ ▇▇▇nt to the Borrower hereunder to the Fleet Agent.

  • Neither the Morg▇▇ ▇▇▇nt nor the Fleet Agent shall incur any liability by acting in reliance upon any notice, consent, certificate, statement, or other writing (which may be a bank wire, telex or similar writing) believed by it to be genuine or to be signed by the proper party or parties.

  • The Morg▇▇ ▇▇▇nt or the Fleet Agent may resign at any time by giving notice thereof to the Banks, the Borrower and each other and the Morg▇▇ ▇▇▇nt or the Fleet Agent, as applicable, shall resign in the event its Commitment is reduced to zero.

  • Market Agent The market agent or market agents, if any, appointed pursuant to Section 8.01, and its or their successors or assigns.

  • Collection Agent means at any time the Person then authorized pursuant to Section 6.01 to service, administer and collect Transferred Receivables.
