A Co-Lender Agreement exists with respect to each Loan Combination as of the Closing Date.

  • State Purchasing Agent means the director of the purchasing division of the general services department.

  • Delinquent Lender has the meaning provided in SECTION 8.15.

  • Lender Affiliate means, (a) with respect to any Lender, (i) an Affiliate of such Lender or (ii) any entity (whether a corporation, partnership, trust or otherwise) that is engaged in making, purchasing, holding or otherwise investing in bank loans and similar extensions of credit in the ordinary course of its business and is administered or managed by a Lender or an Affiliate of such Lender and (b) with respect to any Lender that is a fund which invests in bank loans and similar extensions of credit, any other fund that invests in bank loans and similar extensions of credit and is managed by the same investment advisor as such Lender or by an Affiliate of such investment advisor.

  • Accelerated Mezzanine Loan Lender shall have the meaning assigned to such term or an analogous term in the Lead Securitization Servicing Agreement.

  • Originating Lender has the meaning specified therefor in Section 13.1(e) of the Agreement.

  • VA Approved Lender means a lender which is approved by the VA to act as a lender in connection with the origination of VA Loans.

  • Second Lien Mortgage Loan A Mortgage Loan secured by a second lien Mortgage on the related Mortgaged Property.

  • New Lender Supplement as defined in Section 2.1(c).

  • Required Prepayment Lenders the Majority Facility Lenders in respect of each Facility.

  • Project Lender means a commercial bank, savings bank, savings and loan association, credit union or other financial institution that has loaned funds to the Developer to be used for construction of the Redevelopment Project and has secured such loan with a mortgage or security interest in the Redevelopment Project.

  • Additional Commitment Lender shall have the meaning provided in Section 2.15(c).

  • Departing Lender means each lender under the Existing Credit Agreement that executes and delivers to the Administrative Agent a Departing Lender Signature Page.

  • Non-BA Lender means a Lender that cannot or does not as a matter of policy accept or purchase Bankers’ Acceptances.

  • Assignee Lender is defined in Section 10.11.1.

  • Mortgage lender means a domestic or foreign corporation authorized in this state to make loans secured by mortgages or deeds of trust.

  • Permitted Loan Purchase Assignment and Acceptance means an assignment and acceptance entered into by a Lender as an Assignor and Holdings, the Borrower or any of the Subsidiaries as an Assignee, as accepted by the Administrative Agent (if required by Section 9.04) in the form of Exhibit G or such other form as shall be approved by the Administrative Agent and the Borrower (such approval not to be unreasonably withheld or delayed).

  • DIP Lender means a lender under the DIP Facility.

  • New Lender as defined in Section 2.1(c).

  • Lender Assignment Agreement means an assignment agreement substantially in the form of Exhibit D hereto.

  • Subject Lender has the meaning assigned to that term in subsection 2.9.

  • Conduit Purchaser means each commercial paper conduit that is a party to this Agreement, as a purchaser, or that becomes a party to this Agreement, as a purchaser pursuant to an Assumption Agreement, Transfer Supplement or otherwise.
