Fidelity Software definition

Fidelity Software means the Code (including software programs and Fidelity Interfaces) used and/or provided by Fidelity to provide and perform the Services. The Fidelity Third Party Software, the Fidelity ASP Software and the Fidelity On-Site Software are part of the Fidelity Software.
Fidelity Software means any and all proprietary computer programs and software of Fidelity or any Fidelity's licensors, including all services, processes, data, information and tables created by or for Fidelity and all improvements, updates, fixes, releases and updates related thereto, that are used in connection with the Services, including the applications and modules detailed in any request for proposal.

  • Except as expressly permitted in this Agreement, R▇▇▇▇ will not, and will cause the other members of the R▇▇▇▇ Group and its and their respective Contractors and Subcontractors to refrain from, reverse engineering and/or dissembling the object code for the Fidelity Software to obtain the source code for the Fidelity Software.

  • Except as expressly provided in this Agreement or as otherwise agreed by the parties from time to time, R▇▇▇▇, the other members of the R▇▇▇▇ Group and/or their respective Contractors and Subcontractors shall not be provided with any source Code for the Fidelity Software.

  • The Fidelity Third Party Software, the Fidelity ASP Software and the Fidelity On-Site Software are part of the Fidelity Software.

  • For avoidance of doubt, Vendor shall not on its own or through a third party solicit application development, programming, implementation, maintenance and other similar projects to the Companies relating to the Fidelity Software.

  • Fidelity’s obligation to cooperate in a commercially reasonable manner is contingent upon the replacement software being capable of integration, and compatible, with the Fidelity Software and the Services and possessing the appropriate features, functionality, scalability and performance to support the Fidelity Software and the Services to at least the level of the R▇▇▇▇ Software that it replaces.

  • R▇▇▇▇ shall notify Fidelity of any changes to or modifications in the Fidelity Software and/or the Services that are required to be made as a result of changes in applicable laws, rules and/or regulations in order for the Fidelity Software and/or the Services to comply with the laws and regulations applicable to the Fidelity Software and/or the Services as implemented and used by R▇▇▇▇.

  • R▇▇▇▇ shall timely incorporate and use all modifications and/or changes to the Fidelity Software made by Fidelity in accordance with this Agreement, except R▇▇▇▇ shall not be required to incorporate or use any modification if it does not satisfy or could have any of the effects described in any of items (i), (ii) or (iii) of Section 3.09(q) and/or Fidelity has not timely and fully complied with its performance and notice obligations pursuant to Section 3.09(q).

  • If a Virus is found to have been introduced into the Information System, the Fidelity Software, the R▇▇▇▇ Data, and/or the information, data and other materials delivered by Fidelity and/or its Contractors or Subcontractors to the R▇▇▇▇ Group and/or the Third Party Providers, Fidelity shall use commercially reasonable efforts and diligently work to eliminate the effects of the Virus.

  • The term “Fidelity Products” means Fidelity Software and any hardware that Fidelity uses to provide and perform the Services.

  • The term “Information System” means the hardware, software and network programs and systems provided and/or used (whether owned, under contract and/or licensed) by Fidelity to perform and provide the Services consisting of the Fidelity Products and any hardware, other software and other firmware that Fidelity uses to perform and/or provide the Services, but excluding the R▇▇▇▇ Software that is not a part of the Fidelity Software and any hardware provided by R▇▇▇▇ to Fidelity.

Related to Fidelity Software

  • Company Software means Software owned or purported to be owned by or developed by or for the Company or any Company Subsidiary.

  • Third Party Software means software which is proprietary to any third party (other than an Affiliate of the Contractor) which is or will be used by the Contractor for the purposes of providing the Services.

  • Tyler Software means our proprietary software, including any integrations, custom modifications, and/or other related interfaces identified in the Investment Summary and licensed by us to you through this Agreement. • “we”, “us”, “our” and similar terms mean ▇▇▇▇▇. • “you” and similar terms mean Client.

  • Computer Hardware and Software means, with respect to any Debtor, all of such Debtor's rights (including rights as licensee and lessee) with respect to (i) computer and other electronic data processing hardware, including all integrated computer systems, central processing units, memory units, display terminals, printers, computer elements, card readers, tape drives, hard and soft disk drives, cables, electrical supply hardware, generators, power equalizers, accessories, peripheral devices and other related computer hardware; (ii) all software programs designed for use on the computers and electronic data processing hardware described in clause (i) above, including all operating system software, utilities and application programs in whatsoever form (source code and object code in magnetic tape, disk or hard copy format or any other listings whatsoever); (iii) any firmware associated with any of the foregoing; and (iv) any documentation for hardware, software and firmware described in clauses (i), (ii) and (iii) above, including flow charts, logic diagrams, manuals, specifications, training materials, charts and pseudo codes.

  • Computer software means computer programs, source code, source code listings, object code listings, design details, algorithms, processes, flow charts, formulae and related material that would enable the software to be reproduced, recreated, or recompiled. Computer software does not include computer data bases or computer software documentation.
