Facility Limits definition

Facility Limits means any one of the Designated Facility Limits, the Designated Sub-Limits or Designated Combined Facility Limits.
Facility Limits means the “Facility Limits” set forth in Part II of Schedule I attached to this Agreement.
Facility Limits. Each Fronting Bank will operate within its own facility limit (a “Facility Limit”). The aggregate amount of the Facility Limits will exceed the overall amount of the Facility by no more than 10% at any time (or such higher limit agreed between Trading Co and all the Fronting Banks). The Fronting Banks, the Borrowers and the Facility Agent shall cooperate among themselves with a view to ensuring that the outstanding face amount of Trade LCs does not exceed at any time the total commitments under the Facility. Facility Limits may be adjusted with the consent of Trading Co and all the Fronting Banks, but without the consent of the Participants. There will be provision for the accession and resignation of Fronting Banks, with the consent of Trading Co, all the Fronting Banks and the Majority Participants.

Examples of Facility Limits in a sentence

  • In case of credit line Facility Limits with specific destination, the Borrower shall be entitled to make the first utilisation of the Facility Limit only after fulfilling the following conditions precedent, in addition to the documents requested in accordance with Section 2 (Utilization of the Facility Limit.

  • If a Borrower, being a corporation, ceases to be Controlled by the Parent, any Facility Limits under the Facilities will be deemed immediately cancelled, and each Borrower must repay or, if provided for in this Agreement, provide cash cover for all utilisations together with the accrued interest and all other amounts accrued or outstanding under the Finance Documents, provided the Bank has given at least fourteen (14) Banking Days prior written notice of demand.

  • Each Borrower which has drawn a Loan under a Revolving Facility shall satisfy its obligations in respect thereof on the last day of its Interest Period by way of a Rollover Loan (except to the extent that repayment or prepayment of such Loan is contemplated in Clause 11.1 (Repayment of Exposures and reduction of Facility Limits), Clause 12 (Illegality, voluntary prepayment and cancellation), Clause 13 (Mandatory prepayment) or Clause 26.16 (Acceleration)).

  • Accordingly, if pursuant to clause 2.2 of the Project Loan Agreement the Facility Limits and/or Commitments (as each term is defined in the Project Loan Agreement) are recalculated, the Facility Limits and Commitments under this Agreement shall be amended so as to be equal thereto, provided however, for the avoidance of doubt, no such amendment will result in an increase in the Facility Limits or Commitments under this Agreement applicable as at the date of this Agreement.

  • All such Facilities from time to time with all applicable Individual Facility Limits and the Overall Limit, shall be governed by this Agreement, without any further deed, act or writing.

  • Unless the Facility Agent and the Borrower agree otherwise during that consultation, the Facility Limits, the Principal Facility Limits and the Interest Facility Limits shall be recalculated as contemplated in clause 2.2.3.

  • Nothing in this §3.2(b) shall be construed to restrict Bank’s right to accelerate the Obligations or pursue its other remedies under §10 based on the Overall Facility Limit's or the SBLC Facility Limit’s being exceeded.

Facility Limits with respect to Eligible Loans as applicable, provided that such Facility Limits may be waived or modified (and as and if so modified, shall constitute the Facility Limits under this Agreement for such Eligible Loan) in whole or in part by Buyer as to any Eligible Loan, if and to the extent such waiver or modification is expressly set forth in writing in the Confirmation for the Transaction pursuant to which such Eligible Loan is purchased by Buyer:

Related to Facility Limits

  • Facility Limit means, $175,000,000, as reduced or increased from time to time pursuant to the terms hereof. References to the unused portion of the Facility Limit shall mean, at any time of determination, an amount equal to (x) the Facility Limit at such time, minus (y) the Aggregate Capital at such time.

  • Revolving Facility Percentage means, with respect to any Revolving Facility Lender, the percentage of the total Revolving Facility Commitments represented by such Lender’s Revolving Facility Commitment. If the Revolving Facility Commitments have terminated or expired, the Revolving Facility Percentages shall be determined based upon the Revolving Facility Commitments most recently in effect, giving effect to any assignments pursuant to Section 9.04.

  • Revolving Facility Exposure means, for any Lender at any time, the sum of (i) the principal amount of Revolving Loans made by such Lender and outstanding at such time, and (ii) such Lender’s share of the LC Outstandings at such time.

  • Facility Exposure means, at any date of determination, the sum of the aggregate principal amount of all outstanding Advances and the Available Amount under all outstanding Letters of Credit.

  • Maximum Facility Output means the maximum (not nominal) net electrical power output in megawatts, specified in the Interconnection Service Agreement, after supply of any parasitic or host facility loads, that a Generation Interconnection Customer’s Customer Facility is expected to produce, provided that the specified Maximum Facility Output shall not exceed the output of the proposed Customer Facility that Transmission Provider utilized in the System Impact Study.
