Existing Information definition

Existing Information has the same meaning of that referred to in Article 1.09 of the Frame Agreement
Existing Information means any information developed solely by either Party during any program undertaken by the Parties to jointly develop a Product as well as any information contributed by such Party to the joint development program of the Feeder Product. Each Party shall designate in writing what constitutes its Existing Information from time to time.
Existing Information means all information known by the Indemnified Party’s Group and/or any Relevant Protected Person concerning or indicating the likely presence of Pre-Close Contamination or the Saint-Mihiel Retained Contamination Liabilities at the Completion Date which shall include, for the avoidance of doubt:

Examples of Existing Information in a sentence

  • Each Party shall retain the ownership of its Existing Information.

  • Notwithstanding Section 1.3 above, during the Transition Period Celera shall be permitted to market Existing Information Products and associated services.

  • The Existing Information provided by Seller shall be treated as strictly confidential by Buyer, and the same shall not be disclosed to any third party or governmental entity, except as required by law or pursuant to requirements of any governmental authority.

  • The Parties acknowledge and agree that the provision by Seller of the Existing Information is an accommodation to Buyer only and that, except as provided above and as otherwise provided herein, Seller does not make any representation or warranty as to the Existing Information or the condition of the Property.

  • In the event that the Closing shall not occur, Buyer shall, except as required by law or in order to dispute any assertion by Seller as to Buyer’s reason for terminating this Agreement, return to Seller all Existing Information and copies thereof obtained from Seller during the course of its investigation and shall maintain the confidentiality of the Existing Information.

  • In addition, Italtel shall be authorized to sell Product manufactured utilizing such Existing Information in accordance with all terms and conditions of this Section 13.04(a).

  • Buyer, at its sole cost expense, shall have ninety (90) days from the Effective Date hereof to review the Existing Information and to make or cause to be made such investigations of the Property, and their condition, to the extent that Buyer or its advisors deem necessary or advisable (“Due Diligence Period”).

  • Review Existing Information: Review historic information including, but not limited to, archived aerial photographs, Soil Conservation Service Maps, topographic maps, previously completed geotechnical reports for project along Big Creek or in the immediate vicinity.

  • Rights of each Party with respect to Existing Information of the other Party after termination/expirat are specified in Article 13.04 of the Frame Agreement.

  • NETR▇ (▇▇e non breaching Party) shall have the right to use Italtel Existing Information to the same extent as during the Agreement for a period of 5 (five) years.


More Definitions of Existing Information

Existing Information means all information known by the Indemnified Party’s Group and/or any Relevant Protected Person concerning or indicating the likely presence of Pre-Close Contamination or the Saint-Mihiel Retained Contamination Liabilities at the Completion Date which shall include, for the avoidance of doubt: (i) to the extent knowledge was acquired in the course of providing advice to the Indemnified Party’s Group and/or any Relevant Protected Person, their respective professional advisers (including without limitation, the Purchaser’s solicitors); (ii) any reports produced by the Purchaser and/or any Relevant Protected Person and/or their respective professional advisers in relation to this transaction as at the Completion Date; and (iii) all information fairly disclosed by the Seller, the Retained Group and the EDS Entities to the Indemnified Party and/or any Relevant Protected Person including without limitation all matters contained in the Data Room and the Disclosed Information as at the Completion Date; provided always and for the avoidance of doubt this shall not include any such information which was known to the EDS Entities prior to the Completion Date but which was not disclosed to the Purchaser and/or any Relevant Protected Person;
Existing Information has the meaning set forth in Section 4.3(c).
Existing Information means LRS's specifications, designs, plans, drawings, software, data prototypes or other technical or business information related to the Lightning Rod Interaction Manager(TM) computer software which (i) existed prior to full execution of this Agreement and as evidenced by the written record kept by LRS in the ordinary course of its business and (ii) is considered proprietary or confidential. LRS and Dialogic will identify and detail any and all LRS Pre-Existing Information in each Statement of Work.
Existing Information is defined in Section 9.05.

Related to Existing Information

  • Supporting information means the experience and judgment of the filer and the experience or data of other insurers or advisory organizations relied upon by the filer, the interpretation of any other data relied upon by the filer, descriptions of methods used in making the rates, and any other information required by the commissioner to be filed.

  • Listing Information means an Onvoy Customer’s primary name, address (including city, state and zip code), telephone number(s), the delivery address and number of directories to be delivered, and, in the case of a business Customer, the primary business heading under which the business Customer desires to be placed, and any other information Frontier deems necessary for the publication and delivery of directories.

  • Staffing Information in relation to all persons identified on the Supplier's Provisional Supplier Personnel List or Supplier's Final Supplier Personnel List, as the case may be, such information as the Department may reasonably request (subject to all applicable provisions of the DPA), but including in an anonymised format: (a) their ages, dates of commencement of employment or engagement, gender and place of work; (b) details of whether they are employed, self employed contractors or consultants, agency workers or otherwise; (c) the identity of the employer or relevant contracting Party; (d) their relevant contractual notice periods and any other terms relating to termination of employment, including redundancy procedures, and redundancy payments; (e) their wages, salaries, bonuses and profit sharing arrangements as applicable; (f) details of other employment-related benefits, including (without limitation) medical insurance, life assurance, pension or other retirement benefit schemes, share option schemes and company car schedules applicable to them; (g) any outstanding or potential contractual, statutory or other liabilities in respect of such individuals (including in respect of personal injury claims); (h) details of any such individuals on long term sickness absence, parental leave, maternity leave or other authorised long term absence; (i) copies of all relevant documents and materials relating to such information, including copies of relevant Agreements of employment (or relevant standard Agreements if applied generally in respect of such employees); and (j) any other “employee liability information” as such term is defined in regulation 11 of the Employment Regulations;

  • Identifying information means the same as that term is defined in § 18.2-186.3, and

  • voting information means postal voting information and/or e-voting information
