Exercise Consideration definition

Exercise Consideration means, with respect to the exercise of any Warrant, the type and amount of consideration payable to settle such exercise, determined in accordance with Section 5.

Exercise Consideration means the sum of Cdn.$3.16, being the amount payable in connection with the exercise of one (1) Warrant in order to purchase one (1) Common Share, subject to adjustment under Article 4;

Examples of Exercise Consideration in a sentence

• The composition of the Exercise Consideration due upon Exercise of any Warrant of any Holder will be computed based on the total number of Warrants of such Holder being Exercised with the same Exercise Date.

• Except as provided in Sections 5(g)(i)(3)(B), 5(g)(i)(5) and 5(j)(i)(B), the Company will pay or deliver, as applicable, the Exercise Consideration due upon Exercise of any Warrant on or before the second (2nd) Business Day immediately after the Exercise Date for such Exercise.

• The Warrants will be Exercisable for Exercise Consideration in the manner, and subject to the terms, set forth in Section 5 of the Warrant Agreement.

Exercise Consideration initially means one share of Series A, B or C Preferred Stock of Newco (excluding the Redemption Shares, as defined in the Restated Certificate of Incorporation of Newco) for each 1.6666667 Stock Units (the "initial Preferred Stock Exercise Rate") and thereafter means the Preferred Stock Exercise Rate.
