Exercise Consideration definition

Exercise Consideration means, with respect to the exercise of any Warrant, the type and amount of consideration payable to settle such exercise, determined in accordance with Section 5.

  • For the avoidance of doubt, if the Valuation Price does not exceed the Strike Price on the Exercise Date, the Exercise Consideration (whether the Cash Settlement Amount or Net-Share Settlement Amount) will be zero, subject to the final paragraph of this Section 5(c)(ii).

  • The Warrants will be Exercisable for Exercise Consideration in the manner, and subject to the terms, set forth in Section 5 of the Warrant Agreement.


More Definitions of Exercise Consideration

Exercise Consideration has the meaning set forth in Section 2.01.
Exercise Consideration means the amount equivalent to the number of Options and / or PSUs exercised by the Eligible Employee multiplied by the Exercise Price plus applicable taxes payable by the Employee at the time of exercising the Options and/ or PSUs.
