Execution Costs definition

Execution Costs are defined as: (i) the actual costs charged by a third party, or otherwise incurred, for freight and/or transportation of the Ethanol from the Facility to Buyer including, but not limited to, charges and fees for rail car leases, any and all interim storage and/or terminalling incurred prior to such delivery to Buyer, (ii) insurance, and (iii) all other costs and charges charged by a third party in connection with such transportation and delivery to Buyer, without m▇▇▇-up by UBE, and without charge for UBE’s administrative costs.
Execution Costs means: (i) the actual costs charged by a third party, or otherwise incurred, for freight and/or transportation of the Oil from the Facility to a Buyer including, without limitation, charges and fees for any and all railcar leases, transloading costs, brokerage costs, shrink incurred as a result of the loading and unloading of the Oil during transportation process, interim storage and/or terminaling incurred prior to delivery; (ii) sales taxes, VAT and such other taxes, duties, import or export fees or costs, tariffs, fees or charges as may be applicable to the purchase, delivery or sale of the Oil as contemplated under this Agreement; and (iii) all other costs, expenses, fees or charges charged by a third party in connection with such transportation and delivery to a Buyer, without ▇▇▇▇-up by Marketer, and without charge for Marketer's administrative costs.
Execution Costs are defined as: (i) the actual costs charged by a third party, or otherwise incurred, for freight and/or transportation of the Ethanol from the Facility to Buyer including, but not limited to, charges and fees for any and all rail car leases, Ethanol losses incurred as a result of the loading and unloading of the product during transportation process, interim storage and/or terminalling incurred prior to such delivery to Buyer, (ii) insurance, and (iii) all other costs and charges charged by a third party in connection with such transportation and delivery to Provista’s customer, without m▇▇▇-up by Provista, and without charge for Provista’s administrative costs.

Examples of Execution Costs in a sentence

  • All Execution Costs shall be billed directly to UBE and deducted by UBE from the proceeds of UBE’s sales of the Ethanol to Buyers.

  • UBE shall diligently pursue, secure and maintain all necessary agreements to transport the Ethanol and shall use commercially reasonable efforts to obtain the lowest charges in respect of Execution Costs in an effort to help Customer maximize its net price for the Ethanol delivered hereunder after deduction of Execution Costs in accordance with Section III.I. of this Agreement.

  • Provista agrees to use commercially reasonable efforts to achieve the highest resale price available under prevailing market conditions and to obtain the lowest charges in respect of Execution Costs in an effort to help Customer maximize its net price for the Ethanol delivered hereunder.

  • Execution Costs associated with the transportation of the Ethanol to Buyers will be reviewed by the “Marketing Committee” (as that term is defined in Section III.I.) in an effort to help Customer maximize its net price for the Ethanol delivered hereunder.

  • All Execution Costs shall be billed directly to Provista and deducted by Provista from the proceeds of Provista’s sales of the Ethanol to Buyer.

  • For the purposes of this Agreement, the term “F.O.B. Facility Price” shall mean the actual sale price UBE invoices its Buyers (the “UBE Buyer Actual Price”) minus a marketing fee, which shall be a percentage of the UBE Buyer Actual Price (the “Marketing Fee”) minus Execution Costs [F.O.B. Facility Price = the UBE Buyer Actual Price – the Marketing Fee – Execution Costs].

  • As part of the Facility reporting, the Bank will provide the Donors with periodic reports showing actual and anticipated Bank Execution Costs.

  • The SP may charge execution costs to the Issuer in connection with Valid Dealing Orders Swap Execution Costs ts the Issuer shall charge on to the relevant AP.

More Definitions of Execution Costs

Execution Costs means, in respect of an error in an Executed Swap Confirmation, an amount determined by Buyer in good faith and in a commercially reasonable manner equal to Buyer’s total losses and costs relating to the correction of such error including without limitation any loss of bargain, cost of funding or (without duplication) loss or cost Buyer incurred as a result of the termination, liquidation, entry into or re-establishment of a hedge or related hedging position.
Execution Costs means: (i) the actual costs charged by a third party, or otherwise incurred, for freight and/or transportation of the Subject Products from the Facility to a Buyer including charges and fees for any and all railcar leases, transloading costs, brokerage costs, shrink incurred as a result of the loading and unloading of the Subject Products during transportation process, interim storage and/or terminaling incurred prior to delivery; (ii) sales taxes, VAT and such other taxes, duties, import or export fees or costs, tariffs, fees or charges as may be applicable to the purchase, delivery or sale of the Subject Products as contemplated under this Agreement; and (iii) all other costs, expenses, fees or charges charged by a third party in connection with such transportation and delivery to a Buyer, [***].

Related to Execution Costs

  • Production Costs means those costs and expenditures incurred in carrying out Production Operations as classified and defined in Section 2 of the Accounting Procedure and allowed to be recovered in terms of Section 3 thereof.

  • Transition Costs means the reasonable costs and expenses (including reasonable attorneys’ fees but excluding overhead) incurred or payable by the Successor Servicer in connection with the transfer of servicing (whether due to termination, resignation or otherwise), including allowable compensation of employees and overhead costs incurred or payable in connection with the transfer of the Receivable Files or any amendment to the Sale and Servicing Agreement required in connection with the transfer of servicing.

  • Acquisition Costs means all fees, costs, expenses, stamp, registration or transfer Taxes incurred by the Group in connection with the Acquisition.

  • Construction Costs means land costs, all costs paid to construct and complete the Improvements, as specified on Exhibit "B" attached hereto and made a part hereof.
