Event Price definition

Event Price means any of the following, as applicable:
Event Price means a fixed price for the dispatch or provision of an ancillary service, expressed as dollars per event;
Event Price means the total price payable by the Client for the Event as specified in the Booking Contract. Price means the Event Price and the Accommodation Price specified in the Booking Contract.

  • The aggregate amount payable pursuant to the preceding sentence is referred to as the “Event Price.” The Company shall pay the aggregate Event Price to the Investor (free of any claim of subordination) no later than the third Trading Day following the date of delivery of the Event Notice, and upon receipt thereof the Investor shall deliver the original Note so repurchased to the Company.

  • The Company shall forthwith notify CBG and/or GCILP if as a condition of obtaining any applicable regulatory approvals, including securities regulatory and stock exchange approval, the purchase price must be an amount greater than the Triggering Event Price, and shall keep CBG and/or GCILP fully informed and allow CBG and/or GCILP to participate in any communications with such stock exchange regarding the exercise of CBG and/or GCILP’s rights under this Article 3.

Event Price. The arithmetic mean of the VWAP Prices for each Scheduled Trading Day in the Pre-event Period, as adjusted by the Calculation Agent to take into account partial Exclusion Days. Post-event Price: The price per Share (or any securities or other property received in respect of a Share), as determined by the Calculation Agent, in respect of a reasonable unwind period established by MLI in connection with the close-out of any open stock borrow position established in respect of the Transaction, which price shall be based on the arithmetic average of the VWAP Prices, if available, and otherwise on an appropriate valuation method under the circumstances, which may be cash payable per Share in the context of a Merger, Tender Offer or Nationalization, private market prices, third party bids or independent valuations. Event Price means the average price of all gas trades on NGX for the period commencing at the start of the ERC Event and ending at 5:00 p.m. MST or MDT, as the case may be, on the day the ERC Event terminates. If the ERC Event terminates on a non-business day, the period shall end at 5:00 p.m. MST or MDT, as the case may be, on the next business day. If during such period the number of gas trades on NGX is less than twenty (20) and the aggregate volume of gas traded is less than 200 MMcf/day then the average of the prices published in the CGPR for such period plus one business day will be used to determine the Event Price.

Related to Event Price

  • Adjustment Price means the lowest Underlying Price within the Adjustment Period after the Underlying Price is for the first time equal to or below the Adjustment Threshold.

  • Replacement Price Section 1.51 is amended by (i) adding the phrase “for delivery” immediately before the phrase “at the Delivery Point” in the second line and (ii) deleting the phrase “at Buyer’s option” from the fifth line and replacing it with the phrase “absent a purchase”.

  • Current Price means, with respect to any Reference Obligation on any date of determination, the Calculation Agent’s determination of the net cash proceeds that would be received from the sale on such date of determination of such Reference Obligation, net of the related Costs of Assignment. If Counterparty disputes the Calculation Agent’s determination of the Current Price of any Reference Obligation, then Counterparty may, no later than two hours after Counterparty is given notice of such determination, (a) designate up to two entities, each of which shall be either (i) an Approved Buyer or (ii) a Dealer of credit standing acceptable to Citibank in the exercise of its reasonable discretion and (b) provide to Citibank within such two-hour period with respect to each such Approved Buyer or Dealer a Firm Bid with respect to the entire Reference Amount of the Reference Obligation.   • Settlement Price means the agreed upon price at which to purchase and sell a specified type and quantity of a commodity.

  • Agreement Price shall be the higher of (a) the fair market value of the Shares to be purchased determined in good faith by the Board of Directors of the Company and (b) the original exercise price of the Shares to be purchased.

  • Disruption Cash Settlement Price means in respect of each Security, an amount in the Settlement Currency equal to the fair market value of the Share Amount (taking into account, where the Settlement Disruption Event affected some but not all of the Shares comprising the Share Amount and such non-affected Shares have been duly delivered as provided above, the value of such Shares), less the cost to the Issuer of unwinding any underlying related hedging arrangements, all as determined by the Issuer.

  • Event Date shall have the meaning set forth in Section 2(d).

  • Settlement Price Date means the Valuation Date. "Valuation Date" means the Redemption Valuation Date.

  • Repayment Price means, when used with respect to any Security to be repaid at the option of the Holder, the price at which it is to be repaid by or pursuant to this Indenture.

  • Congestion Price means the congestion component of the Locational Marginal Price, which is the effect on transmission congestion costs (whether positive or negative) associated with increasing the output of a generation resource or decreasing the consumption by a Demand Resource, based on the effect of increased generation from or consumption by the resource on transmission line loadings, calculated as specified in Operating Agreement, Schedule 1, section 2, and the parallel provisions of Tariff, Attachment K-Appendix, section 2.

  • Extraordinary Adjustment Event means any of the following events as they relate to the Reference In- strument:

  • Exchange Price means as of any date, $1,000, divided by the Exchange Rate as of such date.
