In the event of a Seller's Deficiency Default, Seller shall pay Buyer the sum of the following: (i) an amount equal to the product of the Seller's Deficiency Quantity multiplied by the Replacement Price Differential, plus (ii) liquidated damages equal to $0.15 multiplied by Seller's Deficiency Quantity to cover Buyer's administrative and operational costs.
In the event of a Buyer's Deficiency Default, Buyer shall pay Seller the sum of the following: (i) an amount equal to the product of Buyer's Deficiency Quantity multiplied by the Replacement Price Differential, plus (ii) liquidated damages equal to $0.15 multiplied by Buyer's Deficiency Quantity to cover Seller's administrative and operational costs.
If the Parties are unable to agree on the AESO's proposal or that of the Generator or any of the Other Generators, as the case may be, within thirty (30) days after the Pool Price Event occurs, then the Replacement Price shall be determined by mandatory and binding arbitration, from which there shall be no appeal, with such arbitration to be conducted in accordance with the procedures set out in Schedule 6.
However, if Seller fails to deliver shaped product in accordance with the Hourly Settlement Quantity, Seller shall be subject to damages equal to amount of the shortfall (in MWh) multiplied by the positive difference, if any, obtained by subtracting the Contract Price from the Replacement Price.
Unless excused by Buyer's failure to perform or Force Majeure, if Seller fails to deliver all or part of the required or otherwise Scheduled Contract Quantity of energy at the Delivery Point, Seller shall pay Buyer, on the date payment would otherwise be due to Seller, an amount for each kWh of such deficiency equal to the positive difference, if any, obtained by subtracting the Energy Charge for the deficient Contract Quantity from the Replacement Price, plus twenty percent (20%) of the resulting amount.
