Each Dollar Note shall be held in an Authorised Dollar Holding, each Sterling Note shall be held in an Authorised Sterling Holding and each Euro Note shall be held in an Authorised Euro Holding.
This Guarantee shall not be valid or obligatory for any purpose until the certificate of authentication on the Euro Note shall have been executed by the Trustee under the Indenture referred to above by the manual signature of one of its authorized officers.
To the extent any provision of this Euro Note conflicts with the express provisions of the Indenture, the provisions of the Indenture shall govern and be controlling.
No reference herein to such Indenture and no provision of this Guarantee or of such Indenture shall alter or impair the guarantee of the undersigned, which is absolute and unconditional, of the full and prompt payment of the principal of and premium, if any, and interest on the Euro Note.
Any such payment is herein referred to as a “Preferential Payment” to the extent the Company makes any payment to Holder in connection with the Euro Note, and any or all of such payment is subsequently invalidated, declared to be fraudulent or preferential, set aside or required to be repaid or paid over to a trustee, receiver or any other entity, whether under any bankruptcy act or otherwise.
Whenever a Global Euro Note is exchanged for one or more Certificated Euro Notes, it shall be surrendered by the Holder of such Note thereof to the Trustee and cancelled by the Trustee.
This Euro Note is one of the Initial Euro Notes referred to in the Indenture.
The validity and enforceability of this Guarantee shall not be affected by the fact that it is not affixed to any particular Euro Note.
This Euro Note shall not be valid until an authorized signatory of the Trustee (or an authenticating agent) manually signs the certificate of authentication on the other side of this Euro Note.
All Certificated Euro Notes issued in exchange for a Global Euro Note, a beneficial interest therein or a portion thereof shall be registered in the names, and issued in any approved denominations, requested by or on behalf of the Common Depositary (in accordance with its customary procedures).
