Estimated Balance Sheet Adjustment Amount definition

Estimated Balance Sheet Adjustment Amount means Sellers’ estimate, which may be a positive or negative number, of the Balance Sheet Adjustment Amount included in the Estimated Closing Statement.
Estimated Balance Sheet Adjustment Amount means an amount equal to the sum of: (a) the Current Assets excluding cash (as reflected on the Estimated Balance Sheet) less $6,200,000, (b) $8,900,000 less the Current Liabilities (as reflected on the Estimated Balance Sheet) and (c) $15,200,000 less the Long Term Liabilities (as reflected on the Estimated Balance Sheet).
