Equity Incentive Awards. Notwithstanding any contrary term contained in any applicable FMC stock option plan (the "Option Plan") or any applicable stock option agreement, but subject to the approval of the Compensation and Organization Committee of the Board of Directors of FMC or any other appropriate committee, Executive shall have the right to exercise any outstanding stock options granted to him under the Option Plan that are vested as of the Final Transaction Date within the earlier of (A) two years from the Final Transaction Date and (B) the scheduled expiration date of such options under the Option Plan and the applicable stock option agreements.
Equity Incentive Awards means any equity incentive award granted by the Company to the Executive under the Stock Option Plan or any equity incentive plan of the Company operating as a successor thereto.
Equity Incentive Awards means stock options, stock appreciation rights, restricted stock, restricted stock units, performance shares or other stock-based awards, that are issued under any Company plan or agreement and payable in Shares or cash, and that are granted, earned or vested based wholly or partly upon the attainment of any publicly reported financial information related to the Company or one or more of its subsidiaries.

More Definitions of Equity Incentive Awards

Equity Incentive Awards means share options or restricted share awards granted under the Company's Share Option and Share Grant Plan. "Exchange Act" shall mean the U.S. Securities Exchange Act of 1934, as amended. "Exempt Issuances" shall have the meaning set forth in Section 4.4(d). "Fair Market Value" of a security or other asset shall mean the value thereof determined pursuant to Section 9.4. "GAAP" shall mean the generally accepted accounting principles in the United States of America, consistently applied. "Governmental Authority" means any government or political subdivision or department thereof, any governmental or regulatory body, commission, board, bureau, agency or instrumentality, or any court or arbitrator or alternative dispute resolution body, in each case whether federal, state, local, foreign or supranational, as well as any applicable self regulatory body. "Hong Kong" shall mean the Special Administrative Region of Hong Kong.
Equity Incentive Awards means the equity incentive awards which are listed on Exhibit A attached hereto.

Related to Equity Incentive Awards

  • Incentive Award means the right to receive a cash payment to the extent Performance Goals are achieved, and shall include “Annual Incentive Awards” as described in Section 10 and “Long-Term Incentive Awards” as described in Section 11.

  • Performance Awards means Performance Units, Performance Shares or either or both of them.
