Equity Documentation definition

Equity Documentation has the meaning set forth in Section 3(d)(vi).
Equity Documentation means all documents necessary or reasonably desirable to implement the transactions set out in the Equity Term Sheet, including a shareholders agreement and articles or other constitutional documents of New Topco.
Equity Documentation means the documentation governing the Equity Contribution.

Equity Documentation means the underwriting agreement of even date herewith between the Seller, the Purchaser’s Parent, F▇▇▇▇▇▇▇ Group Limited, Cheyne Special Situations I Limited, Neruda Limited, Davycrest Nominees Limited, FlinnHMR, LLC, Istithmar Education Corporation (Cayman), Urago Limited, Trioc RD Limited and Torsby Overseas Limited;
Equity Documentation means (a) the subscription agreement in respect of the equity to be funded by the Investors in JVCo at or about Closing in the form attached as Exhibit B (the “Subscription Agreement”), (b) the amendment and restatement of the limited liability company of JVCo, effective as of the funding of such equity in the form attached as Exhibit C (the “A&R LLCA”), and (c) such other ancillary documentation in respect of the investment by the Investors in JVCo as the Investors shall mutually agree;

Equity Documentation means the investment agreement between certain investors, the Licensor, the founders of the Licensee and the Licensee, dated on or around the date hereof and the share purchase agreement between the Licensee and the Licensor dated on or around the date hereof.

Related to Equity Documentation

  • Security Documentation means the Security Documentation applicable to the specific Services purchased by Client, as updated from time to time, or as otherwise made reasonably available by IRONSCALES.
