Equilink definition

Equilink or words of similar import (the "Names") as part of any corporate name; PROVIDED, HOWEVER, that the Seller shall be permitted to use the word "▇▇▇▇▇▇▇" in its corporate name in accordance with the Transitional Trademark License Agreement to be executed and delivered at Closing in the form attached as Exhibit C. As soon as practicable, but in no event later than 90 days following the Closing Date, the Seller shall amend its certificate of incorporation to change its corporate name to a name not containing any of the Names. The Seller acknowledges that the Names and all marks and logos related thereto shall be owned by the Buyer, and that neither the Seller nor any of the Remaining Subsidiaries or any Person Controlled by the Seller or any Remaining Subsidiary shall have any direct or indirect rights in or to any of the Names or shall contest the ownership or validity of any rights of the Buyer in or to the Names.
Equilink and RHC Licensing Corporation, a Delaware corporation ("RHC"), as Borrowers, and Ri▇▇▇▇▇ ▇ports Inc., a Delaware corporation ("Ri▇▇▇▇▇ ▇ports"), Ridmark Corporation, a Delaware corporation ("Ridmark"), Proacq Corp., a Delaware corporation ("Proacq"), All American Sports Corporation, a Delaware corporation ("All American"), and Sh▇▇▇▇ ▇orporation, a Florida corporation ("Sh▇▇▇▇"), as Guarantors. This Thirteenth Amendment amends the Amended Revolving Credit and Loan Agreement, dated as December 30, 1991, as previously amended by the First Amendment to Amended Revolving Credit and Loan Agreement, dated November 12, 1992, the Second Amendment to Amended Revolving Credit and Loan Agreement, dated February 11, 1993, the Third Amendment to Amended Revolving Credit and Loan Agreement, dated June 24, 1993, the Fourth Amendment to Amended Revolving Credit and Loan Agreement, dated January 26, 1994, the Fifth Amendment to Amended Revolving Credit and Loan Agreement, dated March 26, 1994, the Sixth Amendment to Amended Revolving Credit and Loan Agreement, dated April 30, 1994, the Seventh Amendment to Amended Revolving Credit and Loan Agreement, dated July 31, 1994, the Eighth Amendment to Amended Revolving Credit and Loan Agreement, dated September 15, 1994, the Ninth Amendment to Amended Revolving Credit and Loan Agreement, dated December 12, 1994, the Tenth Amendment to Amendment Revolving Credit and Loan Agreement, dated November 1, 1995, the Eleventh Amendment to Amended Revolving Credit and Loan Agreement, dated November 15, 1995, the Twelfth Amendment to Amendment Revolving Credit and Loan Agreement, dated December 6, 1995, and the Thirteenth Amendment to Amendment Revolving Credit and Loan Agreement, dated March 25, 1996 (as amended, the "Loan Agreement"), among the above referenced parties and, prior to July 1994, Ohio Cellular Products Corporation. Capitalized terms not otherwise defined herein shall have the meanings given to them in the Loan Agreement.

  • The rights granted to SSG herein also specifically exclude, without the prior written consent of MacMark or Equilink, the following: (a) the ability to own a Brick and Mortar Retailer using any of the Trademarks as part of the name of the store, and (b) the ability to use any of the Trademarks as part of SSG’s corporate name.

  • Equilink, MacMark and its auditors agree to maintain the confidentiality of and not disclose to third parties the information SSG provides in connection with any such audit.

  • Specifically, but without limitation, MacMark and Equilink represent that where MacMark is given the right and obligation in this Agreement to approve products and advertising, MacMark, and not Equilink, has the right and power to give such approvals.

  • The interim approvals given by MacMark through its counsel during the negotiation of this Agreement are ratified by MacMark and Equilink.

  • This option is not available for the Equilink or MultiLink Product Series.

  • SSG may terminate this Agreement effective on the tenth (10th) year anniversary of this Agreement and on each subsequent fifth (5th) year anniversary (i.e., the 10th, 15th, 20th, 25th year anniversary, etc.) by giving 180 days written notice to MacMark and Equilink prior to such anniversary.
