Entity Documents definition

Entity Documents shall have the meaning set forth in Section 4.1.
Entity Documents means for each Project Entity or Mezz Entity, the formation and organizational documents for such Project Entity or Mezz Entity, which shall, in all material respects, conform to the form of limited liability company operating agreement for a Project Entity attached hereto as Exhibit D (taking into account differences in the form of the particular Entity) or the form of limited liability company operating agreement for a Mezz Entity attached hereto as Exhibit G.
Entity Documents means, with respect to the Partnership, REIT, REIT TRS, any Hotel Borrower or any Constituent Entity, such Person’s Partnership Agreement, Operating Agreement, By-laws, Certificate of Limited Partnership, Articles of Organization, Certificate of Formation, Articles of Incorporation, Declaration of Trust or similar formation or governing documents.

Examples of Entity Documents in a sentence

  • Notwithstanding anything to the contrary in the Agreement, the Administrator shall not be obligated to, and shall not, take any action that the Issuing Entity directs the Administrator not to take or which would result in a violation or breach of the Issuing Entity’s covenants, agreements or obligations under any of the Issuing Entity Documents.

  • The Administrator shall monitor the performance of the Issuing Entity and the Owner Trustee and shall advise the Issuing Entity and the Owner Trustee when action is necessary to comply with the Issuing Entity’s and the Owner Trustee’s duties and obligations under the Issuing Entity Documents.

  • In addition, the Administrator shall consult with the Issuing Entity and the Owner Trustee regarding its duties and obligations under the Issuing Entity Documents.

  • The Administrator shall perform all of its duties as Administrator under this Agreement and the Issuing Entity Documents and the duties and obligations of the Issuing Entity and the Owner Trustee (in its capacity as owner trustee) under the Issuing Entity Documents; provided, however, except as otherwise provided in the Issuing Entity Documents, that the Administrator shall have no obligation to make any payment required to be made by the Issuing Entity under any Issuing Entity Document.

  • The Administrator shall perform such calculations, and shall prepare for execution by the Issuing Entity or the Owner Trustee or shall cause the preparation by other appropriate persons of all such documents, reports, filings, instruments, certificates and opinions as it shall be the duty of the Issuing Entity or the Owner Trustee (in its capacity as owner trustee) to prepare, file or deliver pursuant to the Issuing Entity Documents.

  • The Administrative Agent shall monitor the performance of the Issuing Entity and shall advise the Issuing Entity when action by the Issuing Entity is necessary to comply with the Issuing Entity’s duties under the Issuing Entity Documents.

  • In addition, the Administrative Agent shall consult with the Owner Trustee regarding the duties of the Issuing Entity under the Issuing Entity Documents.

  • The Administrative Agent shall prepare for execution by the Issuing Entity or shall cause the preparation by other appropriate persons of all such documents, reports, filings, instruments, certificates and opinions as it shall be the duty of the Issuing Entity to prepare, file or deliver pursuant to the Issuing Entity Documents.

  • If a Business Partner is sponsored online, the Entity Documents and Business Entity Registration form must be submitted to Kyäni within 30 days of online sponsoring.

  • None of the Investor Entity Documents will be altered or amended without the consent of the Board of Directors, which consent shall not be unreasonably withheld.

Related to Entity Documents

  • Authority Document(s) means document(s) duly adopted by the Board by resolution or motion implementing the powers, functions and activities of the Authority, including but not limited to the Operating Rules and Regulations, the annual budget, and plans and policies.

  • Equity Documents means collectively the documents evidencing subscription to Equity to the extent of equity component of cost of the Project.

  • DIP Facility Documents means the documents governing the DIP Facility, including any amendments, modifications, and supplements thereto, and together with any related notes, certificates, agreements, security agreements, documents, and instruments (including any amendments, restatements, supplements or modifications of any of the foregoing) related to or executed in connection therewith, and the DIP Orders.

  • Facility Documents means this Agreement, the Notes, the Account Control Agreement, the Sale Agreement, the Administrative Agent Fee Letter, the Lender Fee Letter, the Collateral Administration and Agency Fee Letter and any other security agreements and other instruments entered into or delivered by or on behalf of the Borrower in favor of the Collateral Agent, the Administrative Agent or any Lender from time to time pursuant to this Agreement.

  • Noteholder Documents means (a) the Indenture, the Notes and the Noteholder Collateral Documents and (b) any other related document or instrument executed and delivered pursuant to any Noteholder Document described in clause (a) above evidencing or governing any Obligations thereunder.
