Enrollment Materials means the actual or deemed paper or electronic agreement by a Participant authorizing the Employer to reduce the Employee's Compensation while a Participant during the Plan Year for purposes of obtaining Benefits under the Plan.

• The Dealer Manager will reimburse Dealer and each Covered Person for any legal or other expenses reasonably incurred by Dealer or such Covered Person in connection with investigating or defending any Covered Claims.

• The Companies will ensure that the Client Enrollment Materials will be provided to Clients and prospective Clients who own or are considering the purchase of the Products.
