Endexx and Acquisition Sub shall have performed and complied in all material respects with all agreements and covenants required by this Agreement or Endexx Documents to be performed and complied with by them prior to or on the Closing Date.
RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:
Seller Ancillary Agreements means all Contracts, instruments and documents being or to be executed and delivered by Seller under this Agreement or in connection herewith.
L/C Documents means the Letters of Credit, any draft or other document presented in connection with a drawing thereunder, the Applications and this Agreement.
Seller Ancillary Documents means each agreement, document, instrument or certificate to be delivered by Seller, or its Affiliates, at the Closing pursuant to Section 3.2 and each other document or Contract entered into by Seller, or its Affiliates, in connection with this Agreement or the Closing.
DIP Documents means the DIP ABL Documents and the DIP Term Loan Documents.
