More Definitions of Employee Representations

Employee Representations means: (a) the representations and warranties set forth in Sections 2.16(e), (f), (m), (n), and (o); and (b) the representations, warranties, certifications and other statements and information set forth in the Company Closing Certificate, to the extent such representations, warranties, certifications, statements and information relate to any of the matters addressed in any of the representations and warranties specified in clause “(a)” of this sentence.

Employee Representations. Any oral communications with LIPA's electric Customers will be portrayed as LIPA communications. Accordingly, any KeySpan employee representing LIPA on electric business matters will indicate that he or she is a LIPA representative. Any communication related to shared services that solely affects LIPA's electric Customers will be portrayed as LIPA communications. Accordingly, any KeySpan employees representing LIPA in these circumstances will portray themselves as LIPA representatives. Call Waiting/Audex Messaging: Any messaging for functions which provide dedicated services to LIPA, to which the public has access, will be portrayed as LIPA functions, without any references to KeySpan. Any and all messaging for functions which provide shared services to both LIPA and KeySpan, to which LIPA's electric Customers have access (e.g., Call Center), will be designed to be jointly shared and balanced, to ensure that each entity is equally represented. Any and all messaging for functions which provide shared services and to which the public, other than LIPA's electric Customers, may have access, shall not identify either entity, but rather the organizational title of the function or individual.

Employee Representations. You acknowledge that the Company relies on these representations by you entering into this Agreement: a. You have reported to the Company any work-related injuries or occupational illnesses sustained by you during your employment with the Company; b. You have been properly provided any leaves of absence requested and available to you based on your or your family members’ health or medical condition or military service, and have not been subjected to any improper treatment, conduct, or actions due to a request for or taking such leave; c. With receipt of your Final Pay, you have received all compensation due because of services you performed for the Company; and d. You have had the opportunity to provide the Company with written notice of any and all concerns regarding suspected ethical and compliance issues or violations on the part of the Company.

Employee Representations. You confirm that no promises or statements that are contrary to the terms of this Agreement have been made to you by any Company representative. You agree that the Company has satisfied all of its obligations to you under the Previous Agreement. You agree that neither this Agreement nor the circumstances giving rise to this Agreement shall constitute “Good Reason” under the Previous Agreement as that term is defined therein. The parties hereto mutually agree to terminate the Previous Agreement and enter into this Agreement. You agree that you have had the opportunity to consult an advisor of your choice regarding the matters set forth in this Agreement and that you have knowingly and voluntarily agreed to terminate the Previous Agreement and to enter into this Agreement on the terms set forth herein.
