Eligible Notes definition

Eligible Notes mean the Notes held by the Fund as portfolio securities on the date hereof or any securities or other instruments received in exchange for, or as a replacement of, the Notes or any Eligible Notes as a result of an exchange offer, debt restructuring, reorganization or similar transaction pursuant to which the Notes or Eligible Notes are exchanged for, or replaced with, new securities of the Issuer or a third party, other than Notes or securities which are or become "Eligible Securities" as defined in paragraph (a)(10) of Rule 2a-7.
Eligible Notes means the Notes held by the Fund as portfolio securities on the date hereof or any Replacement Notes other than Qualifying New Securities.
Eligible Notes means [a] Note[s] meeting the eligibility criteria set out in § 239.4.

  • All sales of Re-Pricing Eligible Notes to be effected pursuant to this clause (c) shall be made at the applicable Redemption Price after giving effect on a pro forma basis to all payments to be made pursuant to the Priority of Payments on the Re-Pricing Date if such date is a Payment Date, and shall be effected only if the related Re-Pricing is effected in accordance with the provisions hereof.

  • Subject to the terms and conditions set out in this part, the United States of America, acting through USAID, guarantees to Noteholders the Bor- rower’s repayment of 100 percent of principal and interest due on Eligible Notes.

  • Eligible Notes shall not be subject to acceleration, in whole or in part, by USAID, the Noteholder or any other party.

  • USAID shall not have the right to pay any amounts in respect of the Eligible Notes other than in accord- ance with the original payment terms of such Eligible Notes.

Eligible Notes means those Collateral Notes which comply with all of the following:
Eligible Notes means Notes which are not registered in the name of the County or the Corporation or, to the best knowledge of the Issuing and Paying Agent, any nominee for or any Person who owns such Notes for the benefit of the County or the Corporation. We hereby irrevocably authorize you to draw on us in an aggregate amount not to exceed the Stated Amount of this Letter of Credit set forth above and in accordance with the terms and conditions and subject to the reductions and reinstatements in amount as hereinafter set forth, in one or more Drawings (as hereinafter defined) (subject to the provisions contained in the second following paragraph) payable as set forth herein on a Business Day, by presentation of your written and completed certificate signed by you in the form of (i) Annex A-1 (with respect to the payment at maturity of the principal of and interest at maturity on Notes), or (ii) Annex A-2 (with respect to the payment at maturity of the principal of and interest to maturity on Notes and that otherwise matures on or after the date that you receive notice from us in the form of Annex G hereto (the “Final Drawing Notice”)), attached hereto (any such certificate being a “Drawing”), in each case an aggregate amount not exceeding the Stated Amount of this Letter of Credit.

If , in any such restructuring or exchange offer, reorganization or other transaction, the Fund receives instruments that are Eligible Notes hereunder, such transaction shall not constitute a Contribution Event but the obligations of the Support Providers shall continue and shall apply to the instruments received.

Eligible Notes means Crop Time Notes other than Approved Notes which -------------- Statesman has determined to purchase from the Cooperative.

We hereby irrevocably authorize you to draw on us in an aggregate amount not to exceed the Stated Amount of this Letter of Credit set forth above and in accordance with the terms and conditions and subject to the reductions and reinstatements in amount as hereinafter set forth, in one or more Drawings (as hereinafter defined) (subject to the provisions contained in the second following paragraph) payable as set forth herein on a Business Day, by presentation of your written and completed sight draft signed by you (in the form of Annex J hereto) accompanied by your written and completed certificate signed by you in the form of Annex A-1 (with respect to the payment at maturity of the principal of and interest at maturity on Notes) or (ii) Annex A-2 (with respect to the payment at maturity of the principal of outstanding Notes and the interest to accrue through the maturity thereof) and that are outstanding as of the date that you receive notice from us in the form of Annex I hereto (the “Final Drawing Notice”), attached hereto (any such certificate in the form of Annex A-1 or Annex A-2 being a “Drawing” and the Drawing following your presentation of Annex A-2, the “Final Drawing”), in an aggregate amount not exceeding the Stated Amount of this Letter of Credit.
