  • Buyer (on behalf of itself and on behalf of BESS and USSC), Seller and NVB e▇▇▇ acknowledges and agrees that the performance by Seller of Buyer's payment obligations under the ECD Note as contemplated by this Section, shall be deemed payment in full satisfaction of the Subscription Agreement and the ECD/BESS License Agreement pursuant ▇▇ ▇he terms thereof, and neither Seller nor Buyer shall have any right to receive any additional interest in BESS as a result of such payment.
