Division Proceeds definition
Division Proceeds means (i) in the event of a sale of the HCP Division, the actual net proceeds, less all direct and indirect expenses incurred by the Company for the HCP Division or (ii) in the event of a sale of the Company, 1.5 times the Sales of the HCP Division for the fiscal year immediately preceding the sale of the Company (irrespective of the actual proceeds received by the Company).
