Divested Asset definition

Divested Asset has the meaning set forth in the definition of Fiscal Year 2016 Revenue.

Examples of Divested Asset in a sentence

  • If Jupiter Sub-1 and Lucky Sub-1 provide the Company with a Divested Asset Commitment prior to the Election Date, the Company shall negotiate and, upon the funding of all required contributions, complete a purchase of the Divested Asset for its own account.

  • If Lucky Sub-1 provides the Company with a Divested Asset Commitment prior to the Election Date (and Jupiter Sub-1 shall have failed to so provide such a commitment), Lucky Parent and its Affiliates shall have the right, but not the obligation, to negotiate and complete a purchase of all or any portion of such Divested Asset for their own account.

  • Notwithstanding the foregoing, any Property (or Properties) that Company divests but otherwise retains sufficient management and control thereof to continue to perform its obligations under the Agreement shall not be considered a Divested Asset for purposes of this Paragraph 6.

Related to Divested Asset

  • Invested Assets means cash, Cash Equivalents, short term investments, investments held for sale and any other assets which are treated as investments under GAAP.

  • Transferred Asset means each asset, including any Loan Asset and Substitute Loan Asset (including, if any, the Participation thereof), Conveyed by the Seller to the Purchaser hereunder, including with respect to each such asset, all Related Property; provided that the foregoing will exclude the Retained Interest and the Excluded Amounts.

  • Separately invested asset means an account or fund of a district that is not invested in a pooled fund group.

  • Purchased Asset means (i) with respect to any Transaction, the Eligible Asset sold by Seller to Buyer in such Transaction and (ii) with respect to the Transactions in general, all Eligible Assets sold by Seller to Buyer (other than Purchased Assets that have been repurchased by Seller).

  • REO Asset of a Person means a real estate asset owned by such Person and acquired as a result of the foreclosure or other enforcement of a lien on such asset securing a Servicing Advance or loans and other mortgage-related receivables.
