Dish Transaction Expenses definition

Dish Transaction Expenses means any third-party fees, expenses and disbursements of Dish payable in connection with the transactions contemplated by this Agreement, including, without limitation, fees and expenses of the Dish Stockholders payable in connection with the transactions contemplated by this Agreement that may be paid by Dish; provided, however, that the foregoing shall not include any fees, expenses or disbursements (A) otherwise required to be paid by Soap pursuant to any other section of this Agreement or (B) incurred by Soap or the Dish Surviving Corporation which are on behalf of Soap, including without limitation, the fees and expenses of Soap’s financial advisors, attorneys, accountants and other advisors.
