Development Personnel definition

Development Personnel has the meaning set forth in Section 3.10(c).
Development Personnel means employees of a party assigned (full- or part-time) to conduct research, development, regulatory affairs or business development activities under the Development Program, including project managers, scientists, clinical research and manufacturing staff, post-doctoral fellows, quality control and assurance personnel, technicians or the like, but excluding non-technical, non-professional personnel such as secretarial staff. As used in this Agreement, a "full-time equivalent" or "FTE" shall mean a full-time person, or in the case of less than a full-time dedicated person, a full-time, equivalent person year, based upon a total of [*] hours per year, of work related to the Development Program. For purposes of the foregoing, "employees" shall include "contract workers" who work at a party's location under the party's direction, but do not include outside consultants, such as regulatory affairs consultants, academic collaborators or the like.
Development Personnel means employees of a Party assigned (full- or part-time) to conduct Development of a Licensed Product in accordance with this Agreement, including scientists, research staff, quality control and assurance personnel, technicians or the like, but excluding non-technical, non-professional personnel such as secretarial or administrative staff.

Examples of Development Personnel in a sentence

  • For avoidance of doubt, it is understood and agreed that in-house patent personnel of the Controlling Party shall be deemed Development Personnel with respect to the conduct of the foregoing activities pertaining to the Controlling Party's Technology (i.e., the JT Technology or the CG Technology, as applicable) in accordance with the Development Plan and Budget then in effect.

  • All Key Development Personnel shall allocate their time to performing development services under this Agreement in accordance with the JDP until the US Marketing Clearance and EU Marketing Clearance for Licensed Product in the Field of Use is received.

  • An FTE rate determined in accordance with this Section 6.1.1 shall be used for purposes of determining the Development Costs incurred with respect to Development Personnel.

  • In particular, and without limiting the foregoing, all employees, agents, consultants, contractors and other Persons who have contributed to or participated in the creation, conception or development of the Company Intellectual Property (the "Company Intellectual Property Development Personnel") have executed agreements obligating them to maintain the Company Intellectual Property in confidence.

  • Each of the Company Intellectual Property Development Personnel have executed an agreement, substantially similar to the form attached to Section 4.14(h) of the Company Disclosure Schedule, assigning to the Company any rights or claims they may have to any Company Intellectual Property.

  • Under such circumstances, the total Development Costs of such Party shall be the sum of (i) such additional costs and expenses and (ii) the Development Costs of such Party that have been calculated using the Development Rate and Development Personnel hours.

  • HWMD agrees to use its commercially reasonable efforts to maintain continuity of leadership among the Development Personnel in performing development services hereunder.

  • An FTE rate determined in accordance with this Section 6.1 shall be used for purposes of determining the Costs incurred with respect to Development Personnel and Service Personnel.

  • Service Provider shall provide the Services described in Section 2 below using IT Personnel and Discretionary Development Personnel.
