Derivative Collateral definition

Derivative Collateral means (a) any cash or other property posted or required to be posted as collateral by any ResCap Counterparty to GMAC IM pursuant to the terms of any Derivative Document, (b) all right, title and interest of each ResCap Counterparty in, to and under any Derivative Document, (c) all books, records, writings, data bases, information and other property relating to any Derivative Collateral and (d) all Proceeds, products, offspring, rents, issues, profits and returns of and from, and all distributions on any of the foregoing Derivative Documents has the meaning ascribed to such term in the Loan Agreement and shall include, without limitation, the Derivative Agreements and the Master Netting Agreement.

Examples of Derivative Collateral in a sentence

  • Income received on amounts credited to the Derivative Collateral Account shall be withdrawn from such account and paid to the Derivative Counterparty in accordance with the Derivative Agreement.

  • In accordance with the Derivative Agreement, amounts credited to the Derivative Collateral Account shall be invested as permitted by the Derivative Agreement, as directed in writing by the Derivative Counterparty in the Derivative Agreement or otherwise.

  • In the absence of written direction from the Derivative Counterparty regarding investment of amounts credited to the Derivative Collateral Account, all amounts shall remain uninvested.

  • Subject to the limitations set forth in the Trust Agreement, the Parties agree that the cash and cash equivalents included in any Derivative Collateral Account shall be included in the calculation of the Eligible Assets in the Trust Account.

  • Notwithstanding the foregoing, the Secured Party agrees that if GMAC IM agrees to release its security interest with respect to any of the Derivative Collateral (other than in connection with the termination of the related Derivative Agreement), the Secured Party will also release its security interest on such released Derivative Collateral.

  • The Lender Agent hereby appoints the Omnibus Agent to hold any Collateral (other than any MSR Collateral or Derivative Collateral) which constitutes Account Collateral, Bailment Collateral or Pledged Property, and the Omnibus Agent hereby accepts such appointment.

  • All amounts earned on amounts on deposit in the Derivative Collateral Account (whether cash collateral or securities) shall be taxable to the related Derivative Provider.

  • Upon receipt of a notification of the occurrence of an Event of Default or a Specified Condition (each as defined in the related Derivative Contract), the Derivative Custodian shall withdraw all amounts in the Derivative Collateral Account and apply them to the payment of any termination payment due to Party B (as defined in the related Derivative Contract) in accordance with the Credit Support Annex.

  • On or before the Closing Date, the Derivative Custodian shall establish a Derivative Collateral Account.

  • Cash collateral on deposit in the Derivative Collateral Account shall be invested in Permitted Investments as directed, in writing, by the related Derivative Provider.

Related to Derivative Collateral

  • Hedge Collateral Defined in Section 5.3(b).

  • Mortgage Collateral the “Collateral” as defined in the Mortgage Loan Agreement.

  • Indenture Collateral has the meaning set forth in the Granting Clause of the Indenture.

  • Swap Collateral means, at any time, any asset (including, without limitation, cash and/or securities) which is paid or transferred by a Swap Provider to the Guarantor (and not transferred back to the Swap Provider) as credit support to support the performance by such Swap Provider of its obligations under the relevant Swap Agreement together with any income or distributions received in respect of such asset and any equivalent of such asset into which such asset is transformed; for greater certainty, Contingent Collateral shall at all times be excluded from Swap Collateral;

  • Senior Collateral means any “Collateral” as defined in any Credit Agreement Loan Document or any other Senior Debt Document or any other assets of the Company or any other Grantor with respect to which a Lien is granted or purported to be granted pursuant to a Senior Collateral Document as security for any Senior Obligations.
