Delivery of Amendment. The Borrower, the Agent and each Lender shall have executed and delivered counterparts of this Amendment to Agent.

The Borrower, each Guarantor, the Administrative Agent, the L/C Issuer and each Lender shall have executed and delivered counterparts of this Amendment to the Administrative Agent, sufficient in number for distribution to the Administrative Agent, each Lender and the Borrower;

Delivery of Amendment. Preparation of this Second Amendment by Landlord or Landlord’s agent and submission of same to Tenant shall not be deemed an offer by Landlord to enter into this Second Amendment. This Second Amendment shall become binding upon Landlord only when fully executed by all parties and when Landlord has delivered a fully-executed original of this Second Amendment to Tenant.
Delivery of Amendment. This Amendment shall have been duly executed and delivered by each of the Borrower, the Majority Banks and the Agent, shall be in full force and effect and shall be in form and substance satisfactory to each of the Banks. The Agent shall have received a fully executive copy of this Amendment.
Delivery of Amendment. On the Effective Date, Assignor and Assignee shall execute an amendment to the Loan Agreement in the form of Schedule I hereto (the “Amendment”). Assignor will use its best efforts to cause Borrower to promptly deliver to Assignee the Amendment and the ______________ Revolving Credit Note executed by Borrower.
