Database Updates definition

Database Updates means changes to the content of the Databases.
Database Updates means the Licensed Database as it exists at any given time, including, but not limited to, any and all updates, enhancements, additions, modifications, deletions and/or error corrections to any previously delivered version of the Licensed Database and/or Database Update. Confidential treatment has been requested for portions of this exhibit. The copy filed herewith omits the information subject to the confidentiality request. Omissions are designated as *****. Examples of Database Updates in a sentence

  • Forcepoint will have no liability for any claim of infringement resulting from: (i) modification of the Products by anyone other than Forcepoint; (ii) a combination of the Products with other hardware or software not provided by Forcepoint; or (iii) failure by Licensee to implement Software Upgrades and Database Updates.

  • Technical Support, Database Updates and Software Upgrades will be provided to Licensee only if Licensee has paid the applicable Maintenance Fees.

  • Licensee agrees to treat the Database, Database Updates and supporting materials as confidential trade secrets of the Licensor.

  • Subject to Section 7.2.5 below, in consideration of LookSmart's creation, delivery and licensing to Microsoft of the Database Updates as set forth in Sections 3 and 4.1, Microsoft shall pay LookSmart the sum of [**] per Year (the "Database Update Consideration") during the Update Term, such sum to be paid by Microsoft in four (4) quarterly installments of [**] each, payable and paid within ten (10) business days of the end of quarter comprising such Year.

  • In addition, if LookSmart undergoes a material change in its capital structure, control or ownership (including by way of an initial public offering of stock) this Agreement and Microsoft's rights hereunder, including without limitation, the right to receive Database Updates, shall survive such a change.

Related to Database Updates

  • Software Updates means the Software releases, service packs, build updates or emergency fixes released from time to time in accordance with the Vocera’s update policy for such Software.

  • Software Update means a release of Software, in object code form, or firmware, which provides minor fixes, improvements and modifications to the Software or Equipment. Kodak software releases that are designated as updates will be identified A.B.x where the x designates the release as a Software Update.

  • ALI Database A database used in providing 911 Service which stores information associated with End User customers’ telephone numbers or Shell Records.

  • Category 4 Data is data that is confidential and requires special handling due to statutes or regulations that require especially strict protection of the data and from which especially serious consequences may arise in the event of any compromise of such data. Data classified as Category 4 includes but is not limited to data protected by: the Health Insurance Portability and Accountability Act (HIPAA), Pub. L. 104-191 as amended by the Health Information Technology for Economic and Clinical Health Act of 2009 (HITECH), 45 CFR Parts 160 and 164; the Family Educational Rights and Privacy Act (FERPA), 20 U.S.C. §1232g; 34 CFR Part 99; Internal Revenue Service Publication 1075 (▇▇▇▇▇://▇▇▇.▇▇▇.▇▇▇/pub/irs-pdf/p1075.pdf); Substance Abuse and Mental Health Services Administration regulations on Confidentiality of Alcohol and Drug Abuse Patient Records, 42 CFR Part 2; and/or Criminal Justice Information Services, 28 CFR Part 20.

  • Database means the Commercial Driver Alcohol and Drug Testing Database of the Office of Driver Services of the Arkansas Department of Finance and Administration.
