Cyclerion definition

Cyclerion shall have the meaning set forth in the Recitals.

Cyclerion has the meaning provided in the first sentence of this Agreement.

• Neither Ironwood nor Cyclerion will pay any interest on the proceeds from the sale of fractional shares.

• Nothing in this Article IX will be construed to limit or otherwise alter in any way the indemnity obligations of the Parties, including (i) with respect to the Cyclerion Group, Cyclerion Liabilities, (ii) with respect to the Ironwood Group, Ironwood Retained Liabilities and (iii) those created by this Agreement, by operation of law or otherwise.

• Ironwood registered stockholders who, after aggregating the number of shares of Cyclerion Common Stock (or fractions thereof) to which such stockholder would be entitled on the Record Date, would be entitled to receive a fraction of a share of Cyclerion Common Stock in the Distribution, will be entitled to receive cash in lieu of fractional shares.

• Fractional shares of Cyclerion Common Stock will not be distributed by Ironwood in the Distribution.
