CW Release definition

CW Release means that letter agreement attached to this Agreement as Exhibit B between the CW Network, LLC and Seller executed prior to the execution of this Agreement but contingent upon the Closing, which agreement shall provide, inter alia, that (i) The CW Network, LLC’s cure claims against Seller shall not exceed an aggregate amount equal to $3,051,904, and (ii) The CW Network, LLC is waiving any and all claims that it may have against any of the debtors in the Bankruptcy Case or any of their respective bankruptcy estates (other than those obligations set forth therein). The Purchaser shall be a third party beneficiary under the CW Release.
