Assuming the truth and accuracy of the investment representations made to Centerline REIT, CFM, CFM III, CUCA and any Fund Entity by their respective investors, none of the Acquired Entities, the Fund Entities or any of their respective Subsidiaries is or has ever been, or immediately following the consummation of the Contemplated Transactions will be, required to register as an investment adviser under the Investment Advisers Act.
