CU Stock means the common stock, no par value, of CU.

  • CU shall take any action required to be taken under any applicable state securities laws in connection with the issuance of CU Stock in the Merger, and Home shall furnish all information concerning Home as may be reasonably requested in connection with any such action.

  • The issuance of the CU Stock in the Merger shall have been qualified or registered with the appropriate governmental entity under state securities or Blue Sky laws, and such qualifications or registrations are in effect on the Closing Date.

  • In lieu thereof, each holder of Home Stock who would otherwise be entitled to receive a fractional share shall receive an amount in cash equal to the product (calculated to the nearest thousandth) obtained by multiplying (a) the Average Price of CU Stock times (b) the fraction of the share of CU Stock to which such holder would otherwise be entitled.

  • The Board of Directors of CU shall, subject to its fiduciary duties, recommend that its shareholders approve this Agreement and the transactions contemplated hereby, and the Board of Directors of CU shall, subject to its fiduciary duties, use its best efforts to obtain the affirmative vote of the holders of the largest possible percentage of the outstanding CU Stock to approve this Agreement and the transactions contemplated hereby.

  • As of the date of this Agreement, except for employee stock options covering 729,240 shares of CU Stock granted pursuant to the CU Stock Option Plan, outstanding warrants covering 7,500 shares of CU Stock and 1,492,390 shares covered by the Home Warrant, there were no outstanding options, warrants or other rights in or with respect to the unissued shares of CU Stock or CU serial preferred stock nor any securities convertible into such stock.

  • Each share of Home Stock issued and outstanding immediately prior to the Effective Time shall, on and after the Effective Time, be automatically canceled and cease to be an issued and outstanding share of Home Stock and shall be converted into the right to receive 1.409 shares of CU Stock.
