CSC Documents definition

CSC Documents means the conditional sale contracts and other title retention agreements, Security Documents and all other agreements, instruments and documents delivered or to be delivered to Seller in connection with or relating to the CSCs including any insurance policy or certificate of insurance with respect thereto, any related statements or filings under any personal property security legislation, any related sales document, purchase order or invoice, and any other documents on file with respect thereto, including correspondence, reports, books, records, financial statements, inspection reports and appraisals.

CSC Documents means this Agreement and each other agreement, document, instrument or certificate to be executed by CSC or CSC Stockholders in connection with the consummation of the Transactions.

Examples of CSC Documents in a sentence

  • Notwithstanding anything in this Agreement to the contrary, in no event shall the CSC Representative be liable under this Agreement or any CSC Documents to CSC Securityholders for special, indirect, punitive or consequential loss or damage of any kind whatsoever (including, but not limited to, lost profits), regardless of whether or not any such damages were foreseeable or contemplated and even if the CSC Representative has been advised of the likelihood of such loss or damage.

  • The execution, delivery and performance by CSC of this Agreement and the execution, delivery and performance by CSC of the other CSC Documents to be executed by CSC have been duly authorized by all necessary corporate action on behalf of CSC, other than the Requisite Stockholder Approval.

  • The execution, delivery and performance of this Agreement and the CSC Documents and the consummation of the Transactions by CSC does not breach or violate any rights or obligations under the Investor Agreements that have not been complied with or waived.

  • As of their respective dates, the Topna SEC Documents complied in all material respects with the requirements of the Securities Act of 1933, as amended (the "Securities Act"), or the Exchange Act, as the case may be, and the rules and regulations of the SEC promulgated thereunder applicable to such Topna SEC Documents, and the Topna CSC Documents complied with all applicable Laws and policies in all material respects.

Related to CSC Documents

  • L/C Documents means the Letters of Credit, any draft or other document presented in connection with a drawing thereunder, the Applications and this Agreement.

  • Public Documents As defined in Section 4.02(a) of this Agreement.

  • RFP Documents means the following documents to be entered into by the parties to the respective agreements in connection with the supply of power:

  • LC Documents means all applications, agreements and instruments relating to the Letters of Credit but excluding the Letters of Credit.

  • Merger Documents means, collectively, this Agreement, the Certificate of Merger, and all other agreements and documents entered into in connection with the Merger and the other transactions contemplated hereby.
