  • For the Services listed in Sections 2(a)(iv) and/or 2(a)(v), as the case may be, upon the occurrence of a Subsequent Transaction, the Company shall pay to the Service Provider (or its designee) a fee in an amount equal to the product of (x) three percent (3.0%) of the sum invested by members of the CPPIB Group and their Affiliates in the Subsequent Transaction and (y) the Sharing Percentage.
