Covered Regions definition

Covered Regions has the meaning given in Section 3.3.
Covered Regions means the contiguous United States (i.e. excluding Alaska and Hawaii and offshore territories and possessions). The Recorded Call Services are an optional part of advertising and marketing services provided for multiple purposes, one of which is assisting advertisers and marketers in measuring return on investment (ROI) in connection with acquiring new customers under advertising campaigns [***] Certain information in this agreement has been omitted and filed separately with the Securities and Exchange Commission. DexYP acknowledges and agrees that the Services are not intended to be used for the purposes of using, collecting, accessing or disclosing personally identifiable health information, including without limitation Protected Health Information (“PHI”), as defined in 45 C.F. R. §160.103 under the Health Insurance Portability and Accountability Act of 1996 (“HIPAA Rules”). To the extent that any Client is a “covered entity” as defined in the Health Insurance Portability and Accountability Act of 1996, any exposure to PHI hereunder will be random, infrequent and incidental to Marchex’s provision of Recorded Call Services and is not meant for the purpose of accessing, managing the PHI or creating or manipulating PHI. As such, Marchex shall not be deemed to be a “Business Associate” or “Covered Entity” under the HIPAA Rules for the purposes of this Agreement. In addition, with respect to Clients that may collect information from callers that would be subject to a privilege (e.g. accountants or attorneys) DexYP will be responsible for requiring by means of the Client Terms (as defined below) or otherwise that that such Clients acknowledge and agree that they may use Recorded Call Services only if they fully assume the risk that using a call recording service provided by a third party may jeopardize or preclude the application of the applicable professional privilege with respect to information exchanged during telephone conversations that are recorded.
Covered Regions means Japan, North America, Europe, the Middle East and North Africa, Australia, Hong Kong and China. For the avoidance of doubt, the definition of Covered Regions does not prohibit the parties from discussing or working together on Covered Businesses in regions outside the Covered Regions, such as non-Japan/Hong Kong/China Asia.

Examples of Covered Regions in a sentence

  • Except as to explicit exclusions set forth herein, Marchex’s provision of the Recorded Call Services shall include functionality to enable DexYP to use such Services in compliance with all laws and regulations applicable to recording, monitoring, storing and/or divulging telephone calls in the Covered Regions.

  • Subject to the terms and conditions set forth in this Agreement and to the extent permitted by pre-existing arrangements of either party, SMBC/Nikko, on the one hand, and Moelis Holdings, on the other hand, shall use their commercially reasonable best efforts to work together on Covered Businesses involving Japanese Companies where all principal parties involved are located within Covered Regions.

  • A “Client” is (i) with respect to SMBC/Nikko, a Japanese Company or any other person or entity within Covered Regions that SMBC/Nikko Introduces to Moelis Holdings pursuant to this Agreement and (ii) with respect to Moelis Holdings, a Japanese Company or any other person or entity within Covered Regions that Moelis Holdings Introduces to SMBC/Nikko pursuant to this Agreement.

  • The above Fees apply only to those Services within the Covered Regions and excludes any non-U.S. jurisdictions.

  • Each of SMBC/Nikko and Moelis Holdings agrees, during the term of this Agreement (except pursuant to this Agreement) and for a period of 12 months thereafter, not to solicit any Client Introduced by the other party in connection with an assignment on Covered Businesses involving Japanese Companies where all principal parties involved are located within Covered Regions.

  • Additionally, Marchex reserves the right to set limits on the volume of CTNs made available hereunder and makes no guarantee that local CTNs will be available for specific area codes, provided, however, Marchex will undertake all commercially reasonable efforts to maintain a sufficient inventory of CTNs for DexYP markets in the Covered Regions.

  • Services provided outside of the Covered Regions shall be subject to the then applicable fees or those otherwise agreed in advance in writing by the parties.

  • For the avoidance of doubt, the definition of Covered Regions does not prohibit the parties from discussing or working together on Covered Businesses in regions outside the Covered Regions, such as non-Japan/Hong Kong/China Asia.

Related to Covered Regions

  • Peak Market Activity means a measure of exposure for which credit is required, involving peak exposures in rolling three-week periods over a year timeframe, with two semi-annual reset points, pursuant to provisions of Tariff, Attachment Q, section V.A. Peak Market Activity shall exclude FTR Net Activity, Virtual Transactions Net Activity, and Export Transactions Net Activity.

  • Covered position means a position in which the employee must be a member of the retirement

  • Geographic Region means large areas where similar combinations of climate, geomorphology, and potential natural vegetation occur, established for the purposes of implementing the water protection rules.

  • Required Registration Amount means either the Initial Required Registration Amount or the Additional Required Registration Amount, as applicable.

  • Covered Activity means any activity in which a Covered Person must be engaged when a Covered Accident occurs in order to be eligible for benefits under the Policy. These Covered Activities are listed in the Schedule of Benefits and described in the Hazards section of the Policy.
