The County Librarian, or his/her designee, shall have the authority to issue all notices or demands required or permitted by the County under this Contract.
To implement an extension of time, an Amendment to the Contract shall be prepared and executed by the Contractor and by the County Librarian, or his/her designee.
Should the Contractor fail to correct deficiencies within said time frame, the County Librarian, or his/her designee, may: (a) Deduct from the Contractor’s payment, pro rata, those applicable portions of the Monthly Contract Sum; and/or (b) Deduct liquidated damages.
If the County’s Contract Project Manager or County’s Contract Project Director is not able to resolve the dispute, the County Librarian, or designee shall resolve it.
If the request is denied, the employee may appeal to the County Librarian.
Each such option and extension shall be exercised at the sole discretion of the County Librarian, or his/her designee, as authorized by the Board.
A description of the work not performed and the amount to be withheld or deducted from payments to the Contractor from the County, will be forwarded to the Contractor by the County Librarian, or his/her designee, in a written notice describing the reasons for said action.
The parties agree that the County Librarian and the Foundation’s Executive Director, or, in the absence of an Executive Director, the Foundation's President, are authorized to implement safeguards and agreements with respect to the placement of such gifts with the Foundation.
In addition, the Library System remains subject to State law 15 with respect to libraries, including Education Code section 19146 which vests power to select 16 materials in the County Librarian.
All gifts restricted for a specific library service will be initially authorized by the County Librarian, subject to Library Board of Directors approval when required under Library policies, and then accepted by the Foundation.
