  • Within six (6) months of Client’s production launch of the Combined Service, the Parties shall release a joint case study concerning Client’s use of the iProov Products in the Combined Service.

  • Without limiting the foregoing, as between the Parties, Client shall ensure that each use of the iProov Products meets the requirements of applicable Data Protection Laws, and complies with Section 9.2(b) of this Agreement.

  • Client acknowledges that iProov may modify or deprecate the iProov Products (including the features and functionality thereof) or cease to support specific versions of operating systems or other third party technology at any time and at iProov’s sole discretion, provided that such changes do not materially decrease the overall functionality of the iProov Products as integrated with the Combined Service.

  • Client will also provide all reasonable assistance to iProov in the event that iProov investigates suspected fraudulent or ill-motivated attempts to use the iProov Products, whether as incorporated into the Combined Service or otherwise, including in the case of one or more Transactions that iProov concludes in good faith to be fraudulent or ill-motivated, by supplying iProov with such information as would be capable of aiding the identification of the person undertaking the relevant Transaction(s).

  • Client shall not market or license the iProov Products or any element of it except as part of a Combined Service that is exclusively targeted at the Sector in the Territory.

  • Client will not seek to pass off the iProov Products as being provided by itself without the involvement of iProov.

  • Each Production Service Provider and Trial Service Provider, and the iProov Products in the aggregate, will be subject to Contracted Throughput.

  • Client shall obtain and maintain all necessary licenses, consents, and permissions necessary for iProov, its contractors and agents to perform their obligations and exercise rights under this Agreement, including the provision of the iProov Products as part of the Combined Service.

  • Client agrees to notify iProov upon learning of any unauthorised use of the iProov Products or any other breach of security relating to this Agreement or the Services.

  • Without prejudice to any other rights or remedies it may have, if Client does not pay amounts due hereunder within seven (7) days of notice of non-payment, iProov shall be entitled to suspend the provision of any of the Services and disable any and all Accounts, and otherwise prevent the effective use of the iProov Products including as an element of the Combined Service and by preventing Transactions until payment in full of the overdue sum.

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Marijuana products means concentrated marijuana products and marijuana products that are comprised of marijuana and other ingredients and are intended for use or consumption, such as, but not limited to, edible products, ointments, and tinctures.
