Corporation’s Constating Documents definition

Corporation’s Constating Documents means the articles of amalgamation and by-laws of the Corporation and all amendments to such articles or by-laws;
Corporation’s Constating Documents means the Certificate of Incorporation of the Corporation dated March 15, 2009, and as amended on July 15, 2015, January 8, 2020, and June 9, 2022, and the amended and restated by-laws of the Corporation adopted by the board of directors and shareholders of the Corporation.

  • In the event of any conflict between the provisions of this Agreement and the Corporation’s Constating Documents or any agreement to which the Corporation or a Shareholder is or becomes a party, the provisions of this Agreement shall prevail and govern to the extent permitted by law.

  • The Shareholders shall promptly procure all necessary proceedings and vote their respective Shares so as to cause the Corporation’s Constating Documents to be amended in order to resolve such conflict in favour of the provisions of this Agreement.

  • Subject to the rights, privileges, restrictions and conditions of any Shares pursuant to the Corporation’s Constating Documents, the Corporation and its Subsidiaries shall only undertake or proceed with the matters set out in Sections 3.8(a) through (f), 3.8(h) through (k) and 3.10 with prior Major Investor Approval.

  • Constating Documents means, with respect to any Person, its articles and/or certificate of incorporation, amendment, amalgamation or continuance, memorandum of association, charter, by-laws, declaration of trust and other constating documents (in the case of a trust), partnership agreement, limited liability company agreement or other similar document, and all unanimous shareholder agreements, other shareholder agreements, voting trust agreements and similar arrangements applicable to the Person’s Equity Interests, all as in effect from time to time.

  • Company Governing Documents means the Company Bylaws and the Company Certificate.

  • Governing Instruments means, with regard to any entity, the articles of incorporation and bylaws in the case of a corporation, certificate of limited partnership (if applicable) and the partnership agreement in the case of a general or limited partnership, the articles of formation and the operating agreement in the case of a limited liability company, the trust instrument in the case of a trust, or similar governing documents, in each case as amended from time to time.

  • Constitutive Documents means the Trust Deed or such other documents as defined in the Regulations.

  • Bylaws means the bylaws of the Corporation, as they may be amended from time to time.
