Prior to the Closing, in consideration of the Windsor Real Property Purchase Price, HFSG shall consummate the Windsor Real Property Conveyance Transaction, including executing and delivering the Windsor Real Property Quitclaim Deed, and recording the Windsor Real Property Quitclaim Deed promptly following the date of such transfer.
