Compensation Multiplier means the compensation multiplier that is designated in a Participant’s Participation Agreement, as determined by the Board, and used to determine Participant’s Severance Benefits under Section 3.1. Unless otherwise provided in the Participant’s Participation Agreement, the Participant’s Compensation Multiplier shall be one of the following:
Compensation Multiplier means: (i) if the Executive is subject to compulsory retirement, then the number of years and fractions of years remaining (such fractions to be expressed as the number of whole months and any partial month, divided by 12) from the Executive's Date of Termination (as defined in Section 5(e)) to his normal retirement date, not to exceed three (unless such Executive's termination of employment is a Window Period Termination, as defined in Section 5(c), in which case the multiplier shall not exceed two) or, (ii) if the Executive is not subject to compulsory retirement, then the multiplier shall be three, or if the Executive's termination of employment is a Window Period Termination, then two.

  • Severance Multiplier means, with respect to any termination of Employee’s employment hereunder by the Company without Cause or by Employee with Good Reason, 1; provided, however, that in the event such termination occurs within the two (2) year period following a Change in Control, the Severance Multiplier shall instead equal 2.

Any W-2 wages for a partial year of employment will be annualized, in accordance with the frequency which such wages are paid during such partial year, before inclusion in Average Compensation.
